PURCHASE TERMS AND CONDITIONS. This Exhibit 4.1 sets forth the terms and conditions (“Conditions”) pursuant to which Aviza will purchase the Commercial Units from Trikon pursuant to Article IV of the JDA (as defined below). The terms and conditions of the JDA, including those which are specifically referenced herein and those which by their nature apply to the purchase of the Commercial Units by Aviza from Trikon, are hereby incorporated by reference.

PURCHASE TERMS AND CONDITIONS. SAGE hereby grants to Customer a non-exclusive perpetual right to use the Product in a manner consistent with the Agreement. Such use shall be in accordance with the provisions of the Agreement, which provisions shall survive any termination of the Agreement.

PURCHASE TERMS AND CONDITIONS. The Parties agree that the terms and conditions set forth in Exhibit D attached hereto will apply to iDEN Platform based products, services or features supplied to Nextel by Motorola under this Term Sheet and neither Nextel’s purchase orders nor Motorola’s invoices shall change, alter or add to the terms and conditions of Exhibit D or this Term Sheet in any way. The parties shall negotiate in good faith more detailed purchase and terms and conditions as part of the 2003-05 Supply Agreement.

PURCHASE TERMS AND CONDITIONS. The Transfer Date shall take place on the applicable date at a location mutually agreed upon by the parties in writing or, if none is agreed, at the office of a lender providing loan financing to be used by the Company to pay the Purchase Price (defined below). If the conveyance of fee title to the Company occurs prior to Final Completion of the Project Improvements, then until Final Completin of the Project Improvements, the company’s fee title shall be subject to the continuing conditions of this Lease and the Sublease, as the same may be amended.

PURCHASE TERMS AND CONDITIONS. VENDOR agrees: a) That WHIRLPOOL shall invoice VENDOR for Distressed Appliances upon shipment from WHIRLPOOL's Distribution Center or other specified facility. b) To purchase Salable Appliances at the prices set forth in Schedule C. VENDOR and WHIRLPOOL agree to review the product mix of Ding and Dent Appliances monthly. i) If the product mix changes so that it is unreasonably disproportionate compared to the anticipated seasonal mix, VENDOR and WHIRLPOOL shall negotiate in good faith to adjust prices for Salable Appliances that makes the resale of Salable Appliances economically feasible for VENDOR. ii) VENDOR acknowledges and agrees that WHIRLPOOL may update, change or modify in any respect the prices set forth in Schedule C. WHIRLPOOL agrees to provide VENDOR at least thirty (30) days written notice of any modifications to Schedule C. In the event WHIRLPOOL's price increase is unacceptable to VENDOR, VENDOR may terminate this SAF, or the Agreement as provided in Paragraph C of the Agreement. iii) If any Ding and Dent Appliance is reclassified as Scrap Appliance by agreement or by expiration of WHIRLPOOL's thirty (30) day inspection period, the price for such Scrap Appliances shall be adjusted to twenty (20) percent of the Ding and Dent Appliance price(s) set forth in Schedule C or Fifty Dollars ($50.00). The difference between the Ding and Dent Appliance price and the adjusted Scrap Appliance price shall be paid to VENDOR as a credit against future purchases of Ding and Dent Appliances. c) That Recycled Appliances will be recycled by VENDOR at no charge to WHIRLPOOL. In no event shall WHIRLPOOL be required to take possession of any Ding and Dent Appliances reclassified as Scrap Appliances. d) To make payment in full for Distressed Appliances no later than thirty (30) days from the date of invoice. e) To transport, or be responsible for coordinating transport, and pay all costs and expenses of shipment, for all Distressed Appliances purchased from WHIRLPOOL in the Territory. f) That title and risk of loss for all Distressed Appliances purchased by VENDOR shall transfer to VENDOR when such appliances leave WHIRLPOOL's Distribution Center. g) Not to permit, nor cause to attach, any liens or encumbrances against any WHIRLPOOL property in its possession.

PURCHASE TERMS AND CONDITIONS. Imagitas hereby agrees to sell to Sponsor, and Sponsor hereby agrees to purchase from Imagitas advertising space in the MG for the term of this Agreement, subject to the terms and conditions set forth in this Agreement. Sponsor's advertisement to be included in one (1) year of print runs (there are currently three print runs per year). PURCHASE TERMS AND CONDITIONS. Motorola shall issue purchase orders and/or releases for all prototype and production Flexible Substrate Assemblies purchased hereunder. Each Motorola purchase order shall specify the circuit interconnect design ordered. Only the terms and conditions contained in this document and in Motorola's standard purchase order and release forms current at the time of purchase shall apply to such purchases pursuant to this Agreement. To the extent of any inconsistency or conflict between this Agreement and the terms and conditions of such purchase order or release, this Agreement shall control. Any terms and conditions contained in Parlex's acknowledgment forms or elsewhere shall not change, alter or add to these terms and conditions in any way and shall be of no effect.
