Common use of Purchase Transaction Clause in Contracts

Purchase Transaction. On and subject to the terms and conditions of this Agreement, at Closing, Buyer shall purchase from Sellers, and Sellers shall sell to Buyer, free and clear of all Encumbrances, the Company Shares in exchange for the Purchase Price. The Company Shares owned by Sellers and transferred to Buyer hereunder shall constitute all of the issued and outstanding shares of the Company on the Closing Date.

Purchase Transaction. On and subject to the terms and conditions of this Agreement, at Closing, Buyer shall purchase from SellersSeller, and Sellers Seller shall sell to Buyer, free and clear of all Encumbrances, all of the Company Shares held by Seller in exchange for the Purchase Price. The Company Shares owned by Sellers and transferred to Buyer hereunder shall constitute all of the issued and outstanding shares of the Company on the Closing Dateconsideration set forth herein.
