Common use of Purchaser Closing Deliveries Clause in Contracts

Purchaser Closing Deliveries. On the Closing, the Purchaser shall deliver, or cause to be delivered, to the Seller (or other applicable recipient) the following: (a) The Initial Purchase Price (shares of common stock of Parent Company), Escrow Amount and other payments to be made by the Purchaser at the Closing pursuant Article III; (b) a certificate of an officer of the Purchaser as to compliance with the conditions set forth in Section 7.3(a) and Section 7.3(b); (c) the Escrow Agreement, duly executed by the Purchaser.

Purchaser Closing Deliveries. On the Closing, the Purchaser shall deliver, or cause caused to be delivered, to the Seller (or other applicable recipient) Shareholders the following: (a) The Initial the portion of the Purchase Price (shares of common stock of Parent Company), Escrow Amount and other payments to be made by the Purchaser paid at the Closing pursuant to Article III, paid and delivered in accordance with such Article; (b) a certificate of an officer of the Purchaser as to compliance with the conditions set forth in Section 7.3(a) and Section 7.3(b);Escrow Agreement executed by Purchaser; and (c) the Escrow Agreement, duly executed all other documents required to be entered into or delivered by the PurchaserPurchaser at or prior to the Closing pursuant hereto.

On At the Closing, the Purchaser shall deliver, or cause to be delivered, to the Seller (or other applicable recipient) Shareholder Representative the following: (a) The Initial the portion of the Purchase Price (shares of common stock of Parent Company), Escrow Amount and other payments to be made by the Purchaser paid at the Closing pursuant Article IIIto Section 1.4(a)(ii), and shall pay the Closing Date Indebtedness pursuant to Section 1.4(a)(i), paid and delivered in accordance with each such Section; (b) a certificate of an officer of the Purchaser as to compliance with the conditions set forth in Section 7.3(a) and Section 7.3(b);Seller Notes; and (c) the Escrow Agreement, duly executed and all other documents required to be entered into or delivered by the PurchaserPurchaser at or prior to the Closing pursuant hereto.
