Common use of Purchaser Protected Clause in Contracts

Purchaser Protected. In no event will any purchaser in good faith of any property purported to be released hereunder be bound to ascertain the authority of the Indenture Trustee to execute the release or to inquire as to the satisfaction of any conditions required by the provisions hereof for the exercise of such authority or to see to the application of any consideration given by such purchaser or other transferee; nor will any purchaser or other transferee of any property or rights permitted by this Article to be sold be under any obligation to ascertain or inquire into the authority of the Issuer or any other obligor, as applicable, to make any such sale or other transfer.

Purchaser Protected. In no event will any purchaser in good faith of any property purported to be released hereunder be bound to ascertain the authority of the Indenture Trustee to execute the release or to inquire as to the satisfaction of any conditions required by the provisions hereof for the exercise of such authority or to see to the application of any consideration given by such purchaser or other transferee; nor will any purchaser or other transferee of any property or rights permitted by this Article II to be sold be under any obligation to ascertain or inquire into the authority of the Issuer or any other obligor, as applicable, to make any such sale or other transfer.

Purchaser Protected. In no event will any purchaser in good faith of any property purported to be released hereunder be bound to ascertain the authority of the Indenture Trustee Collateral Agent to execute the release or to inquire as to the satisfaction of any conditions required by the provisions hereof for the exercise of such authority or to see to the application of any consideration given by such purchaser or other transferee; nor will any purchaser or other transferee of any property or rights permitted by this Article to be sold be under any obligation to ascertain or inquire into the authority of the Issuer Issuing Entity or any other obligor, as applicable, to make any such sale or other transfer.

Purchaser Protected. In no event will shall any purchaser in good faith or other transferee of any property purported to be released hereunder be bound to ascertain the authority of the Indenture Trustee to direct the Collateral Agent to execute the release or to inquire as to the satisfaction of any conditions required by the provisions hereof for the exercise of such authority or to see to the application of any consideration given by such purchaser or other transferee; nor will shall any purchaser or other transferee of any property or rights permitted to be sold by this Article to be sold X, be under any obligation to ascertain or inquire into the authority of the any Issuer or any other obligorSubsidiary, as applicable, to make any such sale or other transfer.

Purchaser Protected. In no event will shall any purchaser in good faith of any property purported to be released hereunder be bound to ascertain the authority of the Indenture Secured Notes Collateral Agent or the Trustee to execute the applicable release or to inquire as to the satisfaction of any conditions required by the provisions hereof for the exercise of such authority or to see to the application of any consideration given by such purchaser or other transferee; nor will shall any purchaser or other transferee of any property or rights permitted by this Article XII to be sold be under any obligation to ascertain or inquire into the authority of the Issuer or any other obligor, as applicable, the applicable Guarantor to make any such sale or other transfer.

Purchaser Protected. In no event will shall any purchaser in good faith of any property purported to be released hereunder be bound to ascertain the authority of the Indenture Trustee to execute the release or to inquire as to the satisfaction of any conditions required by the provisions hereof for the exercise of such authority or to see to the application of any consideration given by such purchaser or other transferee; nor will shall any purchaser or other transferee of any property or rights permitted by this Article to be sold be under any obligation to ascertain or inquire into the authority of the Issuer or any other obligor, as applicable, to make any such sale or other transfer.

In no event will shall any purchaser in good faith of any property purported to be released hereunder or under any of the Security Documents be bound to ascertain the authority of the Indenture Trustee or the Collateral Agent, as the case may be, to execute the release or to inquire as to the satisfaction of any conditions required by the provisions hereof for the exercise of such authority or to see to the application of any consideration given by such purchaser or other transferee; nor will shall any purchaser or other transferee of any property or rights permitted by this Article XII to be sold be under any obligation to ascertain or inquire into the authority of the Issuer or any other obligor, as applicableCompany, to make any such sale or other transfer.

In no event will shall any purchaser in good faith of any property purported to be released hereunder be bound to ascertain the authority of the Indenture Notes Collateral Agent or the Trustee to execute the applicable release or to inquire as to the satisfaction of any conditions required by the provisions hereof for the exercise of such authority or to see to the application of any consideration given by such purchaser or other transferee; nor will shall any purchaser or other transferee of any property or rights permitted not prohibited by this Article 12 to be sold be under any obligation to ascertain or inquire into the authority of the Issuer or any other obligor, as applicable, the applicable Guarantor to make any such sale or other transfer.

Purchaser Protected. In no event will any purchaser in good faith of any property purported to be released hereunder be bound to ascertain the authority of the Indenture Trustee to execute the release or to inquire as to the satisfaction of any conditions required by the provisions hereof for the exercise of such authority or to see to the application of any consideration given by such purchaser or other transferee; nor will any purchaser or other transferee of any property or rights permitted by this Article XIII to be sold be under any obligation to ascertain or inquire into the authority of the Issuer or any other obligor, as applicable, to make any such sale or other transfer.

Purchaser Protected. In no event will shall any purchaser in good faith of any property purported to be released hereunder be bound to ascertain the authority of the Indenture Trustee or Collateral Agent to execute the release or to inquire as to the satisfaction of any conditions required by the provisions hereof for the exercise of such authority or to see to the application of any consideration given by such purchaser or other transferee; nor will shall any purchaser or other transferee of any property or rights permitted by this Article XI to be sold be under any obligation to ascertain or inquire into the authority of the Issuer Company or any other obligorPledgor, as applicable, to make any such sale or other transfer.

Purchaser Protected. In no event will shall any purchaser in good faith or other transferee of any property purported to be released hereunder be bound to ascertain the authority of the Indenture Trustee to direct the Collateral Agent to execute the release or to inquire as to the satisfaction of any conditions required by the provisions hereof for the exercise of such authority or to see to the application of any consideration given by such purchaser or other transferee; nor will shall any purchaser or other transferee of any property or rights permitted to be sold by this Article to be sold X, be under any obligation to ascertain or inquire into the authority of the any Issuer or any other obligorDomestic Subsidiary, as applicable, to make any such sale or other transfer.

Purchaser Protected. In no event will shall any purchaser in good faith of any property purported to be released hereunder be bound to ascertain the authority of the Indenture Collateral Agent or the Trustee to execute the release or to inquire as to the satisfaction of any conditions required by the provisions hereof for the exercise of such authority or to see to the application of any consideration given by such purchaser or other transferee; nor will shall any purchaser or other transferee of any property or rights permitted by this Article Ten to be sold be under any obligation to ascertain or inquire into the authority of the Issuer or any other obligor, as applicable, Company to make any such sale or other transfer.

In no event will shall any purchaser in good faith of any property purported to be released hereunder be bound to ascertain the authority of the Indenture Collateral Agent or the Trustee to execute the release or to inquire as to the satisfaction of any conditions required by the provisions hereof for the exercise of such authority or to see to the application of any consideration given by such purchaser or other transferee; nor will shall any purchaser or other transferee of any property or rights permitted by this Article X to be sold be under any obligation to ascertain or inquire into the authority of the Issuer or any other obligor, as applicable, applicable Collateral Grantor to make any such sale or other transfer.

In no event will shall any purchaser in good faith of any property purported to be released hereunder be bound to ascertain the authority of the Indenture Collateral Agent or the Trustee to execute the release or to inquire as to the satisfaction of any conditions required by the provisions hereof for the exercise of such authority or to see to the application of any consideration given by such purchaser or other transferee; nor will shall any purchaser or other transferee of any property or rights permitted by this Article 16 to be sold be under any obligation to ascertain or inquire into the authority of the Issuer or any other obligor, as applicable, Company to make any such sale or other transfer.

Purchaser Protected. In no event will shall any purchaser in good faith of any property purported to be released hereunder be bound to ascertain the authority of the Indenture Collateral Agent or the Trustee to execute the release or to inquire as to the satisfaction of any conditions 108 required by the provisions hereof for the exercise of such authority or to see to the application of any consideration given by such purchaser or other transferee; nor will shall any purchaser or other transferee of any property or rights permitted by this Article 11 to be sold be under any obligation to ascertain or inquire into the authority of the Issuer Company or any other obligor, as applicable, the applicable Subsidiary Guarantor to make any such sale or other transfer.

Purchaser Protected. In no event will shall any purchaser in good faith of any property purported to be released hereunder be bound to ascertain the authority of the Indenture Collateral Agent or the Trustee to execute the release or to inquire as to the satisfaction of any conditions required by the provisions hereof for the exercise of such authority or to see to the application of any consideration given by such purchaser or other transferee; nor will shall any purchaser or other transferee of any property or rights permitted by this Article 11 to be sold be under any obligation to ascertain or inquire into the authority of the Issuer or any other obligor, as applicable, to make any such sale or other transfer.

In no event will shall any purchaser in good faith of any property purported to be released hereunder be bound to ascertain the authority of the Indenture Senior Subordinated Note Collateral Agent or the Trustee to execute the release or to inquire as to the satisfaction of any conditions required by the provisions hereof for the exercise of such authority or to see to the application of any consideration given by such purchaser or other transferee; nor will shall any purchaser or other transferee of any property or rights permitted by this Article 11 to be sold be under any obligation to ascertain or inquire into the authority of the Issuer or any other obligor, as applicable, Company to make any such sale or other transfer.
