Common use of Purchaser’s Performance Clause in Contracts

Purchaser’s Performance. (a) The Parent and Purchaser shall have made the payments and shall have executed and delivered each of the documents required to be executed and delivered by the Parent and Purchaser pursuant to Section 2.10(c). (b) All of the other covenants and obligations that the Parent and Purchaser are required to comply with or to perform pursuant to this Agreement at or prior to the Closing (considered collectively), and each of said covenants and obligations (considered individually), shall have been complied with and performed in all Material respect.

Purchaser’s Performance. (a) The Parent and Purchaser shall have made delivered to the payments Seller, the Principal Shareholder, and shall have Parent executed and delivered each counterparts of the documents required Transactional Documents to be executed and delivered by the Parent and Purchaser pursuant to Section 2.10(c)which each is a party. (b) All of the other covenants and obligations that the Parent and Purchaser are is required to comply with or to perform pursuant to this Agreement at or prior to the Closing (considered collectively), and each of said covenants and obligations (considered individually), shall have been complied with and performed in all Material respectmaterial respects.

(b) All of the other covenants and obligations that the Parent and Purchaser are is required to comply with or to perform pursuant to this Agreement at or prior to the Closing (considered collectively), and each of said covenants and obligations (considered individually), shall have been complied with and performed in all Material respectmaterial respects.
