PURPOSE AND IMPLEMENTATION. The purpose of this Umbrella Agreement (hereinafter referred to as the "Agreement" or "Umbrella Agreement") shall be for NASA and Villanova University to pursue strategic collaborative opportunities to maintain, enhance, and/or develop key competencies and technologies required for future space exploration. The activities under this Agreement will provide NASA an opportunity to disseminate information about NASA's programs and activities, and will also advance mutual objectives towards improving U. This Agreement also aligns with the 2022 NASA Strategic Plan, specifically Strategic Objective 2.3, "Develop capabilities and perform research to safeguard explorers." These goals will be pursued through activities involving individual research topics and hands-on projects. Areas of collaboration may include standard course subjects such as data science, machine learning, and image processing. Collaborative activities may also include larger capstone design projects involving more extensive design and development activities that are typically supported by teams of students over a two-semester period. These activities will involve significant, contextualized, real-world situations, while providing resources, guidance, and instruction to learners as they develop knowledge and problem-solving skills. The Parties shall execute one (1) Annex Agreement (hereinafter referred to as the "Annex") concurrently with this Umbrella Agreement. The Parties may execute subsequent Annexes under this Umbrella Agreement consistent with the purpose and terms of this Umbrella Agreement. This Umbrella Agreement shall govern all Annexes executed hereunder; no Annex shall amend this Umbrella Agreement. Each Annex will detail the specific purpose of the proposed activity, responsibilities, schedule and milestones, and any personnel, property or facilities to be utilized under the task. This Umbrella Agreement takes precedence over any Annexes. In the event of a conflict between the Umbrella Agreement and any Annex concerning the meaning of its provisions, and the rights, obligations and remedies of the Parties, the Umbrella Agreement is controlling.
