Common use of Purpose of Investment Clause in Contracts

Purpose of Investment. The Acquiror Company is acquiring the Shares for its own account, for investment and not for distribution or resale to others. Newry acknowledges the Shares cannot be soled or otherwise transferred unless either (a) the transfer of such securities is registered under the Securities Act or (b) an exemption from registration of such securities is available and the Shares will contain a legend to that effect. The Acquiror Company understands and acknowledges that the Company is under no obligation to register the Shares for sale under the Securities Act.
