PURPOSE OF THE SUB-GRANT. A.1 The purpose, goals and objectives of this award (“Sub-grant”) to the Sub-grantee is to fund the provision of [summary of services provided] under the XXXXXXXXXXXXXXXXXX project. A.2 This Sub-grant is issued to the Sub-grantee on the expressed condition that project activities and funds will be carried-out and administered in accordance with the terms and conditions as hereby set forth in this agreement and all its attachments, which includes the Mandatory Standard Provisions (APPENDIX I); the approved Project Work Plan (ATTACHMENT I); and the Approved Project Budget (ATTACHMENT II). All attachments and appendices are incorporated herein and made a part of this Sub-grant Agreement.

The title, purpose, outputs, and activities of the Project are set out in the Final Proposal (see Annex C). The overarching goal of the Project is: 1 (2) The Sub-Grant is made for the implementation of a specific set of activities, the ‘Global advocacy on AI – Brazil’ Sub-Project, and is carried out by the Sub-Grantee according to the Terms of Reference and deliverables outlined in Annex B. Subject to Article 6 below, the activities and deliverables of the ‘Global advocacy on AI – Brazil’ Sub-Project may be amended only by written agreement of both parties. 1 (3) The Sub-Grantee will be awarded the Sub-Grant on the terms and conditions set out in this document and its Annexes, and which the Sub-Grantee hereby declares it has taken note of and accepts. 1 (4) The Sub-Grantee accepts responsibility for the Sub-Grant and undertakes that it will be used only for the purposes of carrying out the ‘Global advocacy on AI – Brazil’ Sub-Project in accordance with the Final Proposal (Annex C).

  • Purpose of the Plan The Plan is intended to increase incentives and to encourage Share ownership on the part of (1) employees of the Company and its Affiliates, (2) consultants who provide significant services to the Company and its Affiliates, and (3) directors of the Company who are employees of neither the Company nor any Affiliate. The Plan also is intended to further the growth and profitability of the Company. In furtherance of its purposes, but subject to the provisions of this Agreement, the Company shall have all powers necessary and appropriate for the accomplishment of such purposes that are conferred to limited liability companies under the Act.

  • PURPOSE OF THE TRUST The purpose of the Trust shall be to (a) manage, conduct, operate and carry on the business of an investment company; (b) subscribe for, invest in, reinvest in, purchase or otherwise acquire, hold, pledge, sell, assign, transfer, exchange, distribute or otherwise deal in or dispose of any and all sorts of property, tangible or intangible, including but not limited to Securities of any type whatsoever, whether equity or nonequity, of any issuer, evidences of indebtedness of any person and any other rights, interest, instruments or property of any sort to exercise any and all rights, powers and privileges of ownership or interest in respect of any and all such investment of every kind and description, including without limitation, the right to consent and otherwise act with respect thereto, with power to designate one or more Persons to exercise any of said rights, powers and privileges in respect of any of said investments. The Trustees shall not be limited by any law limiting the investments which may be made by fiduciaries.
