Common use of Put Option Closing Deliverables Clause in Contracts

Put Option Closing Deliverables. At the Put Closing: (i) the parties shall execute and deliver an asset purchase agreement (“Asset Purchase Agreement”), substantially in the form attached hereto as Exhibit A, that codifies the terms and conditions under which Seller shall sell, and the Buyer shall purchase, the Put Option Assets, with such other modifications and changes to the Asset Purchase Agreement as agreed to by the parties; and (ii) Seller shall deliver to Buyer a certificate from an authorized officer of Seller, dated the Put Closing Date, to the effect that, to such officer’s knowledge, the conditions to exercise the Put Option in Section 4, have been satisfied by Seller (collectively, the “Put Closing”).
