Qualification and Eligibility. (i) The Unitholder is in compliance with the legal requirements applicable to it in respect of the acquisition, holding and disposition by the Unitholder of the Units to which it may become entitled pursuant to this Subscription Agreement. The Unitholder is a person to which Units may be offered under the securities laws applicable to it and, so far as the Unitholder is aware, Units have not been offered or promoted to it in violation of any such securities laws. The Unitholder agrees to provide at any time, if requested by the Trustee, any additional information that may be reasonably required to determine the Unitholder's eligibility to purchase or continue to own Units. (ii) Without prejudice to the generality of Clause 5.1(f)(i), the Unitholder represents and warrants that he is a person who is not in Singapore.

Qualification and Eligibility. To qualify for holiday pay as specified above, the employee must be a regular (i.e. excluding seasonal), full-time employee or part- time employee (subject to the provisions of Article 1C Section 1-General and Section 4-Benefits) and must have worked all of the scheduled hours on the last scheduled work day before and the next scheduled work day following such holiday except in cases where the employee's absence on such day or days is due to: a. The fact that such day or days occur during his/her regularly scheduled vacation. b. The fact that his/her absence on such day or days is of a nature which is compensable under this contract. c. The fact that he/she is on an approved short-term personal leave of absence, the duration of which is not more than four (4) working days.

  • Eligibility; Disqualification There will at all times be a Trustee hereunder that is a corporation organized and doing business under the laws of the United States of America or of any state thereof that is authorized under such laws to exercise corporate trustee power, that is subject to supervision or examination by federal or state authorities and that has a combined capital and surplus of at least $100.0 million as set forth in its most recent published annual report of condition. This Indenture will always have a Trustee who satisfies the requirements of TIA § 310(a)(1), (2) and (5). The Trustee is subject to TIA § 310(b).

  • STAFF QUALIFICATIONS a) CONTRACTOR shall ensure that all individuals employed, contracted, and/or otherwise hired by CONTRACTOR to provide classroom and/or individualized instruction or related services hold a license, certificate, permit, or other document equivalent to that which staff in a public school are required to hold in the service rendered consistent with Education Code section 56366.1(n)(1) and are qualified pursuant to Title 5 of the California Code of Regulations sections 3064 and 3065. b) Only those NPS/A located outside of California that employ staff that hold a current valid credential or license to render special education and related services as required by that state shall be eligible to be certified. NPA/NPS staff shall be required to hold credentials and licenses within the state where they are providing services regardless of where the agency is located. c) When CONTRACTOR is a nonpublic school, NPS, an appropriately qualified person shall serve as curricular and instructional leader, and be able to provide leadership, oversight and professional development. The administrator of the NPS holds or is in the process of obtaining one of the following: (A) An administrative credential granted by an accredited postsecondary educational institution and two years of experience with pupils with disabilities.

  • Qualification and Good Standing Each Loan Party is qualified to do business and in good standing in every jurisdiction where its assets are located and wherever necessary to carry out its business and operations, except in jurisdictions where the failure to be so qualified or in good standing has not had and will not have a Material Adverse Effect.
