Common use of Qualification and Power Clause in Contracts

Qualification and Power. Buyer is a duly organized corporation validly existing and in good standing under the Laws of the State of Delaware; is duly qualified to carry on its business in the states in which the Properties are located, and has full power and authority to enter into and perform this Agreement (and all documents required to be executed and delivered by Buyer at Closing) and to consummate the transactions contemplated by this Agreement (and such documents).

Qualification and Power. Buyer (i) is a duly organized corporation validly existing and in good standing under the Laws of the State of Delaware; is (ii) is, or as of the Closing Date shall be, duly qualified as of the Closing Date to carry on its business in the states in which the Properties are located, and (iii) has full power and authority to enter into and perform this Agreement (and all documents required to be executed and delivered by Buyer at Closing) and to consummate the transactions contemplated by this Agreement (and such documents).
