Common use of Qualifying Termination Clause in Contracts

Qualifying Termination. A "Qualifying Termination" shall mean the Executive's (i) termination of employment by the Company without "Cause;" or (ii) the Executive's resignation from employment for "Good Reason."

Qualifying Termination. A "“Qualifying Termination" shall mean the Executive's ” means (i) the Participant’s termination of employment due to Retirement, (ii) the Participant’s termination by the Company without "Cause;" , or (iiiii) the Executive's Participant’s resignation from employment for "Good Reason, in each case, subject to the Participant’s provision to the Company following such termination of an executed waiver and general release of claims in a form reasonably acceptable to the Company (the “Release”) no later than 45 days following such termination, and permitting such Release to become effective in accordance with its terms."
