Quality and Compliance Sample Clauses
The Quality and Compliance clause sets standards and requirements that goods or services provided under the contract must meet specified quality levels and comply with applicable laws and regulations. In practice, this clause may require the supplier to adhere to industry standards, undergo inspections, or provide documentation proving compliance with safety or environmental rules. Its core function is to ensure that deliverables are reliable, safe, and legally compliant, thereby protecting the interests of both parties and reducing the risk of defective or non-compliant products or services.
Quality and Compliance. (i) the Specifications for the Product conforms to all applicable cGMP and Applicable Laws;
(ii) the Product, if labelled and manufactured in accordance with the Specifications and in compliance with applicable cGMP and Applicable Laws (A) may be lawfully sold and distributed in the Territory, (B) will be fit for the purpose intended, and (C) will be safe for human consumption;
(iii) on the date of shipment, the API will conform to the specifications for the API that Client has given to Patheon and that the API will be adequately contained, packaged, and labelled and will conform to the affirmations of fact on the container.

(iii) on the date of shipment, the API will conform to the specifications for the API that Client has given to Patheon and that the API will be adequately contained, packaged, and labelled and will conform to the affirmations of fact on the container.
Quality and Compliance. The Supplier agrees to operate the Farm and supply milk in compliance with all applicable laws and the requirements set out in Norco’s Suppliers’ Information Manual.

(iii) on the date of shipment to the Manufacturing Site, the API will conform to the specifications for the API that Client has given to Patheon, subject to Patheon’s obligation to test the API in accordance with the Quality Agreement before beginning manufacture of the Products using the API, and that the API will be adequately contained, packaged, and labelled and will conform to the affirmations of fact on the container.
Quality and Compliance. The Beverage Base as supplied by KO shall comply with the specifications followed by KO as of the Closing (“Specifications”). In addition, KO shall, with respect to the manufacture, storage, and delivery of Beverage Base, comply with all legal requirements, and shall conform to the manufacturing, hygienic, operative and other standards and specifications generally followed by KO with respect to its other beverage products.
Quality and Compliance. 3.1 The Contractor must supply the Goods and perform the Services in accordance with all applicable laws, any requirements of relevant authorities, and any policies of the University notified by the University from time to time.
3.2 All of the Goods and Services must be of the same nature and quality as any sample or demonstration given by the Contractor to the University.
Quality and Compliance. 5.1 This policy is reviewed periodically (at a minimum every two years) to ensure regulatory compliance, operational currency, the identification of continuous improvement opportunities and risk identification and mitigation. This review is reflected in WSUIC’s Quality Management Framework and Risk Management Framework.
5.2 This policy will be available on the WSUIC website for students and the WSUIC SharePoint site for staff access.
5.3 Emails will be issued to all staff to inform and update them on any changes to the policy and/or procedures and guidelines.
5.4 New staff will receive policy information during the induction process where it relates to their position.
Quality and Compliance. (i) during the Term, the Specifications for all Products conform to all applicable GMPs and Applicable Laws;
(ii) during the Term, the Products, if labelled and manufactured in accordance with the Specifications and in compliance with the Quality Agreement, applicable GMPs and Applicable Laws may be lawfully sold and distributed in every jurisdiction in which Flexion markets the Products; and
(iii) during the Term, on the date of shipment to Patheon, any Flexion-Supplied Materials will conform to the specifications for the Flexion-Supplied Materials that Flexion has given to Patheon and the Flexion-Supplied Materials will be adequately contained, packaged, and labelled and will conform to the affirmations of fact on the container.
Quality and Compliance. The Company will provide the Services –
(a) In accordance with the Service and Supply Offer and Agreement;
(b) In a prompt and timely manner to meet the reasonable requirements of the Customer and in accordance with the Requirements and any other requirements specified in the Service and Supply Offer and Agreement;
(c) Using the highest reasonable standard of skill, care and quality and employing techniques, methods, procedures and, where necessary, materials of a high quality and standard in accordance with best professional practice;
(d) In compliance with all relevant territorial, local authority or government standards applicable in the country where the goods or services are provided. The Customer acknowledges however that the system is reliant upon the availability and accuracy of data and telecommunications support provided by third parties, and accordingly the Company cannot warrant that any such data or support will be fault or error free, complete or up to date. The Company will provide the Deliverables –
(e) In accordance with the Service and Supply Offer and Agreement;
(f) In a prompt and timely manner to meet the reasonable requirements of the Customer and in accordance with the Requirements and any other requirements specified in the Service and Supply Offer and Agreement;
(g) Of a suitable standard for the use to which they are to be put under the Agreement and in accordance with the terms of the Warranty set out in Schedule Three.
