Common use of Quarterly and Monthly Statements Clause in Contracts

Quarterly and Monthly Statements. (i) As soon as available, and in any event within forty-five (45) days after the end of each of the first three fiscal quarters of each fiscal year, commencing with the fiscal quarter ending March 31, 2000, the Company will deliver an unaudited consolidated balance sheet and statements of income, retained earnings, and cash flows of the Company and its Subsidiaries as of the end of and for such fiscal quarter, certified by the chief financial officer (or other officer acting in a similar capacity, including the Treasurer) of the Company to be true and correct and to have been prepared in accordance with GAAP consistently applied (except for changes in the application of such principles that have been approved by the Company's Board of Directors), subject to the absence of footnotes and to adjustments consisting of normal year-end accruals, the effect of which, both individually and in the aggregate, is not material. (ii) As soon as available and in any event within thirty (30) days after the end of each month, commencing with the month ending January 31, 2000, the Company will deliver unaudited consolidated balance sheets and statements of income and cash flows of the Company and its Subsidiaries as of the end of each such month, as well as summary information as to backlog and bookings as of such month-end, certified by the treasurer or chief financial officer (or other officer acting in a similar capacity) of the Company to be true and correct and to have been prepared in accordance with GAAP consistently applied (except for changes in the application of such principles that have been approved by the Company's Board of Directors), subject to the absence of footnotes and to adjustments consisting of normal year-end accruals, the effect of which, both individually and in the aggregate, is not material.
