Common use of Rating Condition Clause in Contracts

Rating Condition. Agilent hereby covenants and agrees that, so long as the Class A Preferred Shares remain outstanding and a Rating Circumstance then exists, it will not, and will cause Cayco not to, effect any amendment or modification to any Organizational Document of Cayco (including, without limitation, the Certificate of Designations) or take any action under any of Sections 24, 25 and 26 of the Articles unless, with respect to any such amendment or modification described in clause (a) or any such action described in clause (b), the Rating Condition shall have been satisfied prior to such amendment or modification or action, as the case may be.
