Ratio of Total Liabilities to Gross Asset Value. The ratio of (i) Total Liabilities as of the end of any fiscal quarter ending during the term of this Agreement to (ii) Gross Asset Value as of the end of such fiscal quarter, to be greater than or equal to 0.50 to 1.00 at the end of such fiscal quarter.
