Common use of REACH / RoHS Clause in Contracts

REACH / RoHS. The Seller will comply with all applicable export and re-export control laws including, without limitation, laws related to export licensing, in connection with performing its obligations hereunder. The Seller will provide the Company with the Export Control Classification Number, or such similar number from other jurisdictions, and any other foreign trade data with respect to the Goods and their components, and any changes to such data, as the Company may reasonably request. The Seller represents and warrants that it and its employees, agents and representatives have not violated and will not violate any provision of any applicable anti-bribery or anti-corruption laws. If the Seller fails to meet its obligations in this paragraph, Seller shall defend, indemnify and hold the Company harmless from and against any fines, penalties and/or damages resulting there from. In addition, the Company may, at its discretion, terminate this order without any further liability or obligation.
