Common use of Reasonable Efforts to Close Clause in Contracts

Reasonable Efforts to Close. Subject to such party's right to terminate this Agreement pursuant to Article X hereof, each party shall use commercially reasonable efforts to (a) take or cause to be taken all actions, and do or cause to be done all things, which are necessary, proper or advisable to permit any other party's conditions set forth in Articles VII and VIII to be fully satisfied (but not waived), and (b) consummate and make effective as promptly as practicable the transactions contemplated by this Agreement and any Related Agreement, including using commercially reasonable efforts to obtain the consents and approvals referred to in Sections 7.5 and 8.6, as the case may be.
