Common use of Reassignment of Surplus Clause in Contracts

Reassignment of Surplus. After termination of the Indenture and the payment in full of the Note Obligations, any proceeds of the Collateral received or held by the Trustee shall be turned over to ZVF and the Indenture Collateral shall be reassigned to ZVF by the Trustee without recourse to the Trustee and without any representations, warranties or agreements of any kind.
