RECEIPT BY ESCROW AGENT. This Agreement, fully executed by both Seller and Purchaser, has been received by Escrow Agent this 15 day of June, 2006, and by its execution hereof, Escrow Agent hereby covenants and agrees to be bound by any terms of this Agreement that are applicable to Escrow Agent in its role as escrow agent pursuant to this Agreement.
