Common use of Receipt by Trustee Clause in Contracts

Receipt by Trustee. In accordance with Sections 9.2 and 9.3 of the Indenture, the Trustee acknowledges that it has received (i) a copy of the resolutions of the Company's Board of Directors authorizing the execution of this Supplemental Indenture, (ii) satisfactory evidence of the consent of holders of a majority of the aggregate liquidation amount of the Preferred Securities issued by the Trust to the execution of this Supplemental Indenture and (iii) an Officers' Certificate and Opinion of Counsel stating that the execution of this Supplemental Indenture is permitted by the Indenture and all conditions precedent and covenants relating to the execution of this Supplemental Indenture have been satisfied.

Receipt by Trustee. In accordance with Sections 9.2 and 9.3 Section 8.02 of the Indenture, the Trustee acknowledges that it has received (i) a copy of the resolutions of the Company's Matria’s Board of Directors authorizing the execution of this Supplemental Indenture, (ii) Indenture and satisfactory evidence of the consent of holders of a majority the Holders of the aggregate liquidation amount of the Preferred Securities issued by the Trust Notes to the execution of this Supplemental Indenture Indenture. In addition, in accordance with Section 11.04 and (iii) Section 11.05 of the Indenture, the Trustee acknowledges that its has received an Officers' ’ Certificate and Opinion of Counsel stating that the execution of this Supplemental Indenture is permitted by the Indenture and all conditions precedent and covenants relating to the execution of this Supplemental Indenture have been satisfied.
