Common use of Receipt of Closing Documentation Clause in Contracts

Receipt of Closing Documentation. All documentation relating to the due authorization and completion of the purchase and sale of the Purchased Shares and all actions and proceedings taken on or prior to the Closing Date in connection with the performance by the Purchaser of its obligations under this Agreement shall be satisfactory to the Vendors and their counsel, acting reasonably, and the Vendors shall have received copies of all such documentation or other evidence as they may reasonably request in order to establish the consummation of the transactions contemplated hereby and the taking of all corporate proceedings in connection therewith in compliance with these conditions, in form and substance satisfactory to the Vendors and their counsel, acting reasonably.

All documentation relating to the due authorization and completion of the sale and purchase and sale of the Purchased Shares and the termination of the Option under this Agreement and all actions and proceedings taken on or prior to the Closing Date in connection with the performance by the Purchaser Company and the Vendors of its their respective obligations under this Agreement shall be satisfactory to the Vendors and their counsel, Purchaser (acting reasonably, ) and the Vendors Purchaser shall have received copies of all such documentation or other evidence as they it may reasonably request in order to establish the consummation of the transactions contemplated hereby by this Agreement and the taking of all corporate proceedings in connection therewith in compliance with these conditions, in form (as to certification and otherwise) and substance satisfactory to the Vendors and their counsel, Purchaser acting reasonably.

All documentation relating to the due authorization and completion of the purchase and sale of the Purchased Shares Securities and all actions and proceedings taken on or prior to the Closing Date in connection with the performance by the Purchaser Vendors of its obligations their obligations, covenants and agreements under this Agreement shall be satisfactory to the Vendors Purchaser and their its counsel, acting reasonably, and the Vendors Purchaser shall have received copies of all such documentation or other evidence as they it may reasonably request in order to establish the consummation of the transactions contemplated hereby and the taking of all corporate proceedings in connection therewith in compliance with these conditions, in form and substance satisfactory to the Vendors Purchaser and their its counsel, acting reasonably.
