Recognition of Special Relationship i) In recognition of the close relationship between the University and the Hospital and their shared academic mission, the Hospital agrees that the University's academic resource requirements relating to undergraduate and postgraduate medical training in the Hospital shall have precedence over those of other universities or post-secondary institutions or Rural Ontario Medical Program (ROMP). ii) To facilitate the special relationship between the Hospital and the Schulich School of Medicine & Dentistry (SSMD), the Vice-▇▇▇▇ Hospital & Interfaculty Relations, SSMD shall be appointed to the Medical Advisory Committee of the Hospital and the ▇▇▇▇, SSMD (or designate) shall provide a quarterly report to the Board of the Hospital on key issues relating to this affiliation. iii) The University and the Hospital, whenever possible, will inform each other of their future plans, programs and services, including possible changes to, or elimination of existing programs, resources or services that may affect undergraduate and postgraduate medical training in the Hospital. Whenever possible, however in no way mandatory, the parties will endeavor to give twelve months' notice of any such plans or changes and will attempt to reach an agreement to prevent or minimize the impact of proposed changes on the programs and operations of the other party. iv) The University and the Hospital will meet on an on-going basis to discuss and negotiate resource funding issues. Resource funding issues relating to medical and dentistry training will also be addressed through the Windsor Joint Liaison Committee and/or the Hôtel-▇▇▇▇ ▇▇▇▇▇ Hospital/SSMD Liaison Committee (see below).

  • Commercial Relationship You expressly recognize that your participation in the Plan and the Company’s grant of the Award does not constitute an employment relationship between you and the Company. You have been granted the Award as a consequence of the commercial relationship between the Company and the Company’s affiliate in Mexico that employs you, and the Company’s local affiliate in Mexico is your sole Employer. Based on the foregoing, (a) you expressly recognize the Plan and the benefits you may derive from your participation in the Plan do not establish any rights between you and the Company’s affiliate in Mexico that employs you, (b) the Plan and the benefits you may derive from your participation in the Plan are not part of the employment conditions and/or benefits provided by the Company’s affiliate in Mexico that employs you, and (c) any modifications or amendments of the Plan by the Company, or a termination of the Plan by the Company, shall not constitute a change or impairment of the terms and conditions of your employment with the Company’s affiliate in Mexico that employs you.

  • Termination of Relationship If Optionee terminates Continuous Status as an Employee or Consultant for any reason, Optionee may exercise this Option during the Termination Period set out in the Notice of Grant, to the extent the Option was vested at the date of such termination. To the extent that Optionee was not vested in this Option at the date on which Optionee terminates Continuous Status as an Employee or Consultant, or if Optionee does not exercise this Option within the time specified herein, the Option shall terminate.

  • General Relationship Executive shall be considered an employee of the Company within the meaning of all federal, state and local laws and regulations including, but not limited to, laws and regulations governing unemployment insurance, workers’ compensation, industrial accident, labor and taxes.

  • Termination of Service Relationship If the Optionee’s Service Relationship terminates, the period within which to exercise the Stock Option may be subject to earlier termination as set forth below.

  • Consulting Relationship During the term of this Agreement, Consultant will provide consulting services to the Company as described on Exhibit A hereto (the “Services”). Consultant represents that Consultant is duly licensed (as applicable) and has the qualifications, the experience and the ability to properly perform the Services. Consultant shall use Consultant’s best efforts to perform the Services such that the results are satisfactory to the Company.
