Common use of Recording and Filing of Assignments Clause in Contracts

Recording and Filing of Assignments. At Buyer's request, the ----------------------------------- Assignments promptly shall be recorded or filed, as applicable, in the name of Buyer or in the name of a person or entity designated by Buyer in all appropriate public offices, files and records. If any such Assignment is lost or returned unrecorded or unfiled because of a defect therein, Seller promptly shall prepare substitute Assignments to cure such defects and thereafter cause each such substitute Assignment to be duly recorded or filed, as applicable. Each of Seller and Buyer shall pay one half of all recording and filing fees related to such a one-time recordation or filing, as applicable, of the Assignments.
