Common use of Records and Books Clause in Contracts

Records and Books. The minute books of the Company have previously been made available to the Buyer and accurately record all corporate action taken by the stockholders and boards of directors and committees thereof from the date of organization through the date hereof.

Records and Books. The minute books of the each Acquired Company and Subsidiary have previously been made available to the Buyer and accurately record all material corporate action or other actions required to be taken by the stockholders and stockholders, members, managers, boards of directors and committees thereof thereof, as applicable, from the date of organization through the date hereof.

The minute books of the each Company have previously been made available to the Buyer and or will be made available to Buyer not later than April 1, 2008, which will accurately record all corporate action taken by the stockholders and boards of directors and committees thereof from the date dates of their organization through the date hereofof delivery thereof to Buyer.
