Common use of Records and Books Clause in Contracts

Records and Books. The Company is in possession of all documents and records required for the conduct of its activities. All accounts, books, ledgers, and other financial records of the Company: (i) have been properly maintained and contain accurate records of all material matters required to be entered in them by applicable law; and (ii) correctly state, in all material respects, the matters which ought to appear in them consistently with past accounting practices of the Company. The Company does not carry on businesses under names other than its corporate name.
