Records and Contracts. Seller shall deliver to Parent and Acquisition Sub all of the Contracts, with such assignments thereof and consents to assignments as are necessary to assure Parent and Acquisition Sub of the full benefit of the same. Seller shall also deliver to Parent and Acquisition Sub all of Seller's files and records constituting Assets.
