Common use of Redemption Closing Clause in Contracts

Redemption Closing. The closing of the redemption of the Redemption Shares being redeemed by the Sponsors (the "Redemption Closing") shall take place at 10:00 a.m. at the offices of Weil, Gotshal & ▇▇▇▇▇▇ LLP, ▇▇▇ ▇▇▇▇▇▇▇ ▇▇▇▇▇▇, ▇▇▇▇▇▇, ▇▇ ▇▇▇▇▇ on the applicable Redemption Date, or at such other time and place as the Sponsors and the Company may agree. The Sponsors shall deliver to the Company at the Closing a certificate or certificates evidencing the Shares redeemed hereunder together with executed stock powers.

The Sponsors shall deliver to the Company Parent at the Closing a certificate or certificates evidencing the Shares redeemed hereunder together with executed stock powers.
