Reduction of Exercise Price Clause Samples

The Reduction of Exercise Price clause allows for the adjustment of the price at which an option or warrant holder can purchase underlying securities, typically lowering it under certain conditions. This adjustment may be triggered by events such as stock splits, issuance of additional shares at a lower price, or other corporate actions that affect the value of the underlying security. By providing a mechanism to reduce the exercise price, the clause ensures that holders are protected from dilution and maintain the economic value of their rights despite changes in the company's capital structure.
