Common use of Reduction of indemnity Clause in Contracts

Reduction of indemnity. (a) The indemnities given by an indemnifying party under clause 16.1(a) will be reduced proportionally to the extent that the liability, loss, harm, damage, cost or expense referred to in clause 16.2(a) was caused or contributed to by: (i) any breach of this Agreement (including material breach of any warranty given under this Agreement) by any of those indemnified or the actions of third parties; (ii) any unlawful or negligent act or omission by any of those indemnified or any of its directors, officers, employees, agents, contractors or the actions of third parties; or (iii) the exercise by any of those indemnified of any rights granted in relation to Contributed Material or the actions of third parties.
