Common use of Reduction of Termination Charges Clause in Contracts

Reduction of Termination Charges. If DFS pays any termination charges to BancTec in connection with a partial termination of this Agreement, the termination charges set forth in Exhibit C6 (Termination for Convenience Fees) of Schedule C (Compensation) for the remainder of the Term will be reduced by the amount paid by DFS and, in that event, Exhibit C6 (Early Termination Fees) of Schedule C (Compensation) will be deemed amended accordingly.
