Common use of Reformation; Severability Clause in Contracts

Reformation; Severability. If any provision of this Agreement is held by a court to be unreasonable in scope or duration or otherwise, the court shall, to the extent permitted by law, reform such provision so that it is enforceable, and enforce the applicable provision as so reformed. Reformation of any provision of this Agreement pursuant to this subsection shall not affect any other provision of this Agreement or render this Agreement unenforceable or void.

If any portion or provision of this Agreement is held shall to any extent be declared illegal or unenforceable by a court to of competent jurisdiction, then such portion or provision shall be unreasonable in scope or duration or otherwise, the court shall, reformed so that it is valid and enforceable to the fullest extent permitted by law, reform and the remainder of this Agreement, or the application of such portion or provision so that in circumstances other than those as to which it is enforceableso declared illegal or unenforceable, and enforce the applicable provision as so reformed. Reformation of any provision of this Agreement pursuant to this subsection shall not affect any other provision of this Agreement or render this Agreement unenforceable or voidbe affected thereby.

Reformation; Severability. The provisions of this Agreement shall be severable. If a court of competent jurisdiction shall declare any provision of this Agreement is held by a court to be unreasonable in scope invalid or duration or otherwiseunenforceable, the other provisions hereof shall remain in full force and effect, and such court shallshall be empowered to modify, if possible, such invalid or unenforceable provision to the extent permitted by law, reform such provision so that necessary to make it is enforceable, valid and enforce enforceable to the applicable provision as so reformed. Reformation of any provision of this Agreement pursuant to this subsection shall not affect any other provision of this Agreement or render this Agreement unenforceable or voidmaximum extent possible.
