Registered Marks. Exhibit D lists trademarks registered in Poland; however, BKC makes no expressed or implied warranty with respect to the validity of any of the Burger King Marks. The Developer acknowledges the Developers understanding that the Developer may be conducting business utilizing Burger King Marks which have not been registered and that registration may not be granted for unregistered marks and that some of the Burger King Marks may be subject to use by third parties unauthorized by BKC. Except for the representation that the trademarks listed on Exhibit D have been registered, no other warranty as to validity, subsistence or otherwise is made in respect of said trademarks or any other trademark which may be authorized for use by the Developer.
Registered Marks. Provider acknowledges that the names, logos, service marks, trademarks, trade dress, trade names and patents, whether or not registered, now or hereafter owned by or licensed to the University or its affiliated companies or assigns (collectively “Marks”) are proprietary Marks of the University and Provider will not use the Marks for any purpose except as expressly permitted in writing by the University. Upon termination of this Agreement, Provider shall (a) immediately and permanently discontinue the use and display of any of the Marks and make or cause to be made such changes as the University shall reasonably direct; and (b) immediately remove and deliver to the University all goods bearing any Marks.

  • Future Registered Marks If any ▇▇▇▇ registration is issued hereafter to any Assignor as a result of any application now or hereafter pending before the United States Patent and Trademark Office, within 30 days of receipt of such certificate, such Assignor shall deliver to the Collateral Agent a copy of such certificate, and an assignment for security in such ▇▇▇▇, to the Collateral Agent and at the expense of such Assignor, confirming the assignment for security in such ▇▇▇▇ to the Collateral Agent hereunder, the form of such security to be substantially the same as the form hereof or in such other form as may be reasonably satisfactory to the Collateral Agent.

  • Registered Nurse A Registered Nurse is a nurse who holds current registration as a registered nurse with the Board. A. 4.1 Registered Nurse Level 1 (RN1) An employee appointed at this level performs their duties: According to their level of competence; and under the general guidance of, or with general access to a more competent Registered Nurse (RN) who provides work related support and direction. An employee at this level is required to perform general nursing duties which include substantially, but are not confined to:  Delivering direct and comprehensive nursing care and individual case management to patients or clients within the practice setting;  Coordinating services, including those of other disciplines or agencies, to individual patients or clients within the practice setting;  Providing education, counselling and group work services orientated towards the promotion of health status improvement of patients and clients within the practice setting;  Providing support, direction and education to newer or less experienced staff, including EN’s, and student nurses;  Accepting accountability for the employee’s own standards of nursing care and service delivery; and  Participating in action research and policy development within the practice setting. A. 4.2 Registered nurse Level 2 (RN2) An employee appointed at this level may be an RN, CNS or CNE: Holds any other qualification required for working in the employee’s particular practice setting; and is appointed as such by a selection process or by reclassification from a lower level when the employee is required to perform the duties detailed in this subclause on a continuing basis. In addition to the duties of an RN1, an employee at this level is required, to perform duties delegated by a nurse in a higher classification. Duties of a Level 2 nurse will substantially include, but are not confined to:  Delivering direct and comprehensive nursing care and individual case management to a specific group of patients or clients in a particular area of nursing practice within the practice setting;  Providing support, direction, orientation and education to RN1’s, EN’s and student nurses;  Being responsible for planning and coordinating services relating to a particular group of clients or patients in the practice setting, as delegated by a nurse in a higher classification;  Acting as a role model in the provision of holistic care to patients or clients in the practice setting; and  Assisting in the management of action research projects, and participating in quality assurance programs and policy development within the practice setting. Clinical Nurse Specialist (Employer Appointed Position) In residential aged care facilities where there are 250 or more beds: A Registered Nurse with specific post registration qualifications and twelve months experience working in the clinical area of the employee’s specified post registration qualification; or a Registered Nurse with four years’ post registration experience in a specific clinical area and working in the clinical area of their specified post registration experience. In residential aged care facilities where there are less than 250 beds: A Registered Nurse with specific post registration qualifications and twelve months experience working in the clinical areas of their post registration qualification. Clinical Nurse Educator (Employer Appointed Position) Means a registered nurse with relevant post registration certificate qualifications or experience deemed appropriate by the Employer, who is required to implement and evaluate educational programmes for the Employer. The Clinical Nurse Educator shall cater for the delivery of clinical nurse education and may also be responsible for the orientation of new employees. Nothing in this classification definition shall affect the role carried out by the Clinical Nurse Specialist as a specialist resource and the Clinical Nurse Consultant in the primary role of clinical consulting, researching, etc. A.

  • Registered Assets Investments which are registered may be registered in the name of the Custodian, a Subcustodian, or in the name of the Fund or a nominee for any of the foregoing, and may be held in any manner set forth in paragraph 5.2 above with or without any identification of fiduciary capacity in such registration.

  • Registered Intellectual Property Section 3.16(a) of the Company Disclosure Letter sets forth a true, correct and complete list of (i) all Company Registered Intellectual Property and identifying for Company Registered Intellectual Property: (A) the jurisdiction in which such item of Company Registered Intellectual Property has been registered or filed and the applicable application, registration or serial number and date; and (B) the record owner and, if different, the legal owner and beneficial owner (and if any other Person has an ownership interest in such item of Company Registered Intellectual Property, the identity of such other owner and nature of such ownership interest) and (ii) all internet domain names registered by the Acquired Companies, including the domain name registrar. As of the date of this Agreement, the Company and its Subsidiaries have maintained all material Company Registered Intellectual Property in the ordinary course consistent with reasonable business practices, and has used reasonable business judgement in its prosecution, maintenance, and abandonment of Company Registered Intellectual Property. The Company Registered Intellectual Property is subsisting and, to the Knowledge of the Company, not invalid or unenforceable. Without limiting the generality of the foregoing, except as would not reasonably be expected to have a Company Material Adverse Effect: (i) with respect to each item of Company Registered Intellectual Property, all necessary: (A) fees, payments and filings have been timely submitted to the relevant Governmental Authority or domain name registrar; and (B) other actions have been timely taken, in the case of each of clauses “(A)” and “(B),” to maintain each such item of Company Registered Intellectual Property in full force and effect; and (ii) no Legal Proceeding is pending or, to the Knowledge of the Company, threatened, in which the ownership, scope, validity or enforceability of any Company Intellectual Property is being, has been, or would reasonably be expected to be contested or challenged. Except as would not reasonably be expected to have a Company Material Adverse Effect, (x) all assignments, documents and instruments necessary to perfect the rights of the Company or any of its Subsidiaries in any Company Registered Intellectual Property have been duly executed and validly delivered, filed and otherwise recorded in a timely manner with the appropriate Governmental Authority, and (y) each such recording is in compliance with all applicable Laws.
