Common use of REGISTRATION AND RECORDATION Clause in Contracts

REGISTRATION AND RECORDATION. 16.1 If the terms of this Agreement, or the terms of any assignment or license under this Agreement, are or become such as to require that the Agreement or license or any part thereof be registered with or reported to a national or supranational agency of any area in which LICENSEE, Affiliates or Sublicensees would do business, LICENSEE shall, at its expense, undertake such registration or report, and promptly supply to MICHIGAN notice and appropriate verification of the act of registration or report or any agency ruling resulting from it. 16.2 LICENSEE shall also carry out, at its expense, any formal recordation of this Agreement or any license herein granted that the law of any country requires as a prerequisite to enforceability of the Agreement or license in the courts of any such country or for other reasons, and shall promptly furnish to MICHIGAN appropriately verified proof of recordation.
