Registration and Restricting Legend Clause Samples

The "Registration and Restricting Legend" clause governs the process by which securities may be registered for resale and addresses the use of restrictive legends on certificates. Typically, this clause outlines the conditions under which a holder can request the company to register their securities, and specifies when and how restrictive legends—notations indicating transfer limitations—may be removed from the securities. Its core function is to ensure compliance with securities laws while providing a clear pathway for holders to eventually sell or transfer their securities, thereby balancing regulatory requirements with investor liquidity.
