Registration of Certificates. The Certificates shall be delivered in the form of fully registered Certificates without coupons. The Certificates shall be individually numbered as determined by the Certificate Agent. The Certificates shall be registered initially in the name of “Cede & Co.,” as nominee of Depository Trust Company and shall be evidenced by one certificate. Registered ownership of the Certificates, or any portion thereof, may not thereafter be transferred except as set forth in Section 3.6 hereof.
