No registration of transfer of any Series 2002-C Transferor Certificate shall be made unless the transferor or the transferee has delivered, at its expense, to the Trust, the Depositor, and the Certificate Registrar a fully completed representation letter, substantially in the form of Exhibit B. Each Holder of a Series 2002-C Transferor Certificate must satisfy the transfer restrictions in the representation letter.
