Centrex agrees to use its good faith diligent efforts to file and keep effective a Form S-8 Registration Statement covering the Option shares issuable upon the exercise fo the Options hereby granted in accordance with applicable laws, rules and regulations if and when Form S-8 becomes available to Centrex.
