Counterparty hereby agrees that if, in the good faith reasonable judgment of Dealer, based on the advice of counsel, the Shares (“Hedge Shares”) acquired and held by Dealer for the purpose of hedging its obligations pursuant to the Transaction cannot be sold in the public market by Dealer without registration under the Securities Act (other than any such Hedge Shares that were, at the time of acquisition by Dealer, “restricted securities” (as defined in Rule 144 under the Securities Act)), Counterparty shall, at its election, either (i) in order to allow Dealer to sell the Hedge Shares in a registered offering, make available to Dealer an effective registration statement under the Securities Act and enter into an agreement, in form and substance reasonably satisfactory to Dealer, substantially in the form of an underwriting agreement for a registered secondary offering of substantially similar size and in a similar industry; provided, however, that if Dealer, in its sole reasonable discretion, is not satisfied with access to due diligence materials, the results of its due diligence investigation, or the procedures and documentation for the registered offering referred to above, then clause (ii) or clause (iii) of this paragraph shall apply at the election of Counterparty, (ii) in order to allow Dealer to sell the Hedge Shares in a private placement, enter into a private placement agreement substantially similar to private placement purchase agreements customary for private placements of equity securities of companies similar to Counterparty, in form and substance reasonably satisfactory to Dealer (in which case, the Calculation Agent shall make any adjustments to the terms of the Transaction that are necessary, in its reasonable judgment, to compensate Dealer for any discount from the public market price of the Shares incurred on the sale of Hedge Shares then held by Dealer in a private placement), or (iii) purchase the Hedge Shares from Dealer at the then-current market price on such Exchange Business Days, and in the amounts and at such time(s), reasonably requested by Dealer.

Registration. Counterparty hereby 6.1.1 The Writer acknowledges and agrees that if, the BBC shall be entitled to register the title of the programme as a trademark in the name of the BBC. The parties shall consult in good faith reasonable judgment how best to maximise the protection of Dealerthe programme trade ▇▇▇▇, based on but the advice BBC shall be entitled to decide whether to apply for registered trade ▇▇▇▇ protection and registration shall be at its cost. The Writer shall promptly provide the BBC and its agents with such assistance as the BBC (or its agents) may reasonably request in respect of counsel, the Shares (“Hedge Shares”) acquired and held by Dealer for the purpose of hedging its obligations pursuant to the Transaction cannot be sold in the public market by Dealer without registration under the Securities Act (other than any such Hedge Shares that weretrade ▇▇▇▇ application, at the BBC’s cost.
6.1.2 The BBC hereby grants to the Writer an exclusive royalty-free, irrevocable licence to use the programme trade ▇▇▇▇ in respect of the exclusive rights retained by the Writer under this Agreement for the duration of such rights. Where the Writer has granted the BBC an option in rights reserved to the Writer and the BBC has then subsequently acquired a licence to exploit the reserved right under option the Writer’s trademark licence in that reserved right shall be suspended for the period in which the BBC is exploiting the right under licence from the Writer and following expiry of the BBC’s licence of the right the Writer’s licence shall be restored but subject to the BBC’s right continuing right to exploit programmes produced hereunder.
6.1.3 If the Writer has reasonably requested the BBC by written notice to file an appropriate application to register the title of the programme as a trade ▇▇▇▇ and the BBC has, without good reason, failed to do so within the period of time specified, the Writer shall be entitled to make such application in the joint name of acquisition by Dealer, “restricted securities” the Writer and the BBC. (Such period shall expire no sooner than the earlier of expiry of the BBC’s right to make a first Series or of a second Series or of expiry of the date of first Transmission of the first episode of the second Series.) The BBC shall promptly provide the Writer and their agents with such assistance as defined the Writer (or their agents) may reasonably request in Rule 144 under the Securities Act)), Counterparty shallrespect of such trade ▇▇▇▇ application, at its election, either (i) in order to allow Dealer to sell the Hedge Shares in a registered offering, make available to Dealer an effective registration statement under Writer’s cost.
6.1.4 The Writer shall not exercise any of the Securities Act and enter into an agreement, in form and substance reasonably satisfactory to Dealer, substantially Writer’s own rights in the form of an underwriting agreement for a registered secondary offering of substantially similar size and programme title trade ▇▇▇▇ in a similar industry; provided, however, that if Dealer, in its sole reasonable discretion, is not satisfied with access to due diligence materials, any way which would bring the results of its due diligence investigation, programme or the procedures and documentation for the registered offering referred to above, then clause (ii) BBC into disrepute or clause (iii) of this paragraph shall apply at the election of Counterparty, (ii) in order to allow Dealer to sell the Hedge Shares in a private placement, enter into a private placement agreement substantially similar to private placement purchase agreements customary for private placements of equity securities of companies similar to Counterparty, in form and substance reasonably satisfactory to Dealer (in which case, the Calculation Agent shall make any adjustments infringe BBC guidelines as notified to the terms of the Transaction that are necessary, in its reasonable judgment, to compensate Dealer for any discount from the public market price of the Shares incurred Writer or as available on the sale of Hedge Shares then held by Dealer in a private placementBBC’s public internet website (at URL ▇▇▇.▇▇▇.▇▇.▇▇), or (iii) purchase the Hedge Shares from Dealer at the then-current market price on such Exchange Business Days, and in the amounts and at such time(s), reasonably requested by Dealer.

For the avoidance of doubt, nothing in this Confirmation shall be interpreted as requiring Counterparty to deliver cash in respect of the settlement of this Transaction, except in circumstances where cash settlement thereof is permitted for classification of the contract as equity by ASC Topic 815, Derivatives and Hedging, as in effect on the Trade Date (including, without limitation, where Counterparty so elects to deliver cash).

Counterparty Parent hereby agrees that if, in the good faith reasonable judgment of Dealer, based on the advice of counsel, the Shares or other Hedge Positions (the “Hedge Shares”) acquired and held by Dealer for the purpose of hedging its obligations pursuant to the Transaction cannot be sold in the public market by Dealer without registration under the Securities Act (other than any such Hedge Shares that wereAct, at the time of acquisition by Dealer, “restricted securities” (as defined in Rule 144 under the Securities Act)), Counterparty Parent shall, at its electionelection in its sole and absolute discretion, either (i) in order to allow Dealer to sell the Hedge Shares in a registered offering, make available to Dealer an effective registration statement under the Securities Act and enter into an agreement, in form and substance reasonably satisfactory to Dealer, substantially in the form of an underwriting agreement for a registered secondary offering of substantially similar size and in a similar industryoffering; provided, however, that if Dealer, in its sole reasonable discretion, is not satisfied with access to due diligence materials, the results of its due diligence investigation, or the procedures and documentation for the registered offering referred to above, then clause (ii) or clause (iii) of this paragraph shall apply at the election of CounterpartyParent, (ii) in order to allow Dealer to sell the Hedge Shares in a private placement, enter into a private placement agreement substantially similar to private placement purchase agreements customary for private placements of equity securities of companies similar to Counterpartysecurities, in form and substance reasonably satisfactory to Dealer (in which case, the Calculation Agent shall make any adjustments to the terms of the Transaction that are necessary, in its reasonable judgment, to compensate Dealer for any discount from the public market price of the Shares or other Hedge Positions incurred on the sale of Hedge Shares then held by Dealer in a private placement), or (iii) purchase the Hedge Shares from Dealer at the then-current market price Relevant Price on such Exchange Business Days, and in the amounts and at such time(s)amounts, reasonably requested by Dealer.

This Section 9(n) shall survive the termination, expiration or early unwind of the Transaction.

For the avoidance of doubt, unless Counterparty elects to repurchase the Hedge Shares pursuant to clause (iii) of this paragraph (r), nothing in this Master Confirmation shall be interpreted as requiring Counterparty to repurchase the Hedge Shares or otherwise pay any amount of cash to Dealer pursuant to this paragraph (r) and under no circumstances shall Counterparty be required to repurchase the Hedge Shares or otherwise pay any amount of cash to Dealer pursuant to this paragraph (r). This paragraph (r) shall survive the termination, expiration or early unwind of any Transaction for a period reasonably determined by Dealer (which period shall end no later than the thirtieth consecutive Valid Day on which Counterparty has satisfied all of its obligations pursuant to this paragraph (r) and the agreements referred to herein).

Counterparty hereby agrees that if, in the good faith reasonable judgment of Dealer, Dealer based on the advice of counsel, the Shares (“Hedge Shares”) acquired and held by Dealer for the purpose of hedging its obligations pursuant to the Transaction cannot be sold in the U.S. public market by Dealer without registration under the Securities Act (other than any such Hedge Shares that were, at as a result of Dealer being or having been in the time of acquisition by Dealer, three months preceding an “restricted securitiesaffiliate” (as defined in under Rule 144 under the Securities Act)144) of Counterparty), Counterparty shall, at its election, either (i) in order to allow Dealer to sell the Hedge Shares in a registered offering, make available to Dealer an effective registration statement under the Securities Act to cover the resale of such Hedge Shares and enter into an agreement, in form and substance reasonably satisfactory to Dealer, substantially in the form of an underwriting agreement for a registered secondary offering of substantially similar size and in a similar industryoffering; provided, however, that if Dealer, in its sole reasonable discretion, is not satisfied with access to due diligence materials, the results of its due diligence investigation, or the procedures and documentation for the registered offering referred to above, then clause (ii) or clause (iii) of this paragraph shall apply at the election of Counterparty, (ii) in order to allow Dealer to sell the Hedge Shares in a private placement, enter into a private placement agreement substantially similar to private placement purchase agreements customary for private placements of equity securities of companies similar to Counterpartysize and type, in form and substance reasonably satisfactory to Dealer (in which case, the Calculation Agent shall make any adjustments to the terms of the Transaction that are necessary, in its reasonable judgment, to compensate Dealer for any discount from the public market price of the Shares incurred on the sale of Hedge Shares then held by Dealer in a private placementplacement of similar size and type), or (iii) purchase the Hedge Shares from Dealer at the then-current market price Relevant Price on such Exchange Business Days, and in the amounts and at such time(s)amounts, reasonably requested by Dealer.

For the avoidance of doubt, under no circumstances shall Counterparty be obligated to make the election described in clause (iii) of the preceding sentence.

Counterparty hereby agrees that if, in the good faith reasonable judgment of Dealer, Dealer based on the advice of counsel, the Shares (“Hedge Shares”) acquired and held by Dealer for the purpose of hedging its obligations pursuant to the Transaction cannot be sold in the U.S. public market by Dealer without registration under the Securities Act (other than any such Hedge Shares that were, at as a result of Dealer being or having been in the time of acquisition by Dealer, three months preceding an “restricted securitiesaffiliate” (as defined in under Rule 144 under 144) of the Securities Act)Issuer), Counterparty shall, at its election, either (i) in order to allow Dealer to sell the Hedge Shares in a registered offering, make available to Dealer an effective registration statement under the Securities Act to cover the resale of such Hedge Shares and enter into an agreement, in form and substance reasonably satisfactory to Dealer, substantially in the form of an underwriting agreement for a registered secondary offering of substantially similar size and in a similar industryoffering; provided, however, that if Dealer, in its sole reasonable discretion, is not satisfied with access to due diligence materials, the results of its due diligence investigation, or the procedures and documentation for the registered offering referred to above, then clause (ii) or clause (iii) of this paragraph shall apply at the election of Counterparty, (ii) in order to allow Dealer to sell the Hedge Shares in a private placement, enter into a private placement agreement substantially similar to private placement purchase agreements customary for private placements of equity securities of companies similar to Counterpartysize and type, in form and substance reasonably satisfactory to Dealer (in which case, the Calculation Agent shall make any adjustments to the terms of the Transaction that are necessary, in its reasonable judgment, to compensate Dealer for any discount from the public market price of the Shares incurred on the sale of Hedge Shares then held by Dealer in a private placementplacement of similar size and type), or (iii) purchase the Hedge Shares from Dealer at the then-current market price Relevant Price on such Exchange Business Days, and in the amounts and at such time(s)amounts, reasonably requested by Dealer.

For the avoidance of doubt, unless Counterparty elects to repurchase the Hedge Shares pursuant to clause (iii) of this Section 9(p), nothing in this Confirmation shall be interpreted as requiring Counterparty to repurchase the Hedge Shares or otherwise pay any amount of cash to Dealer pursuant to this Section 9(p) and under no circumstances shall Counterparty be required to repurchase the Hedge Shares or otherwise pay any amount of cash to Dealer pursuant to this Section 9(p).

Counterparty hereby agrees that if, in the good faith reasonable judgment of Dealer, based on the advice of counsel, the Shares (“Hedge Shares”) acquired and held by Dealer for the purpose of hedging effecting a commercially reasonable hedge of its obligations pursuant to the Transaction cannot be sold in the public market by Dealer without registration under the Securities Act (other than any such Hedge Shares that wereAct, Counterparty shall use commercially reasonable efforts to cause Parent to, at the time of acquisition by Dealer, “restricted securities” (as defined in Rule 144 under the Securities Act)), Counterparty shall, at its Counterparty’s election, either (i) in order to allow Dealer to sell the Hedge Shares in a registered offering, make available to Dealer an effective registration statement under the Securities Act and (A) enter into an agreement, in form and substance reasonably satisfactory to Dealer, substantially in the form of an underwriting agreement for a registered secondary offering of substantially similar size, (B) provide accountant’s “comfort” letters, (C) provide disclosure opinions and other customary opinions, certificates and closing documents customary in form for registered offerings of equity securities and (D) afford Dealer a reasonable opportunity to conduct a “due diligence” investigation (in all cases of (A)-(D) above, as would be usual and customary for offerings for companies of similar size and in a similar industry); provided, however, that if Dealer, in its sole reasonable discretion, is not satisfied with access to due diligence materials, the results of its due diligence investigation, or the procedures and documentation for the registered offering referred to above, then clause (ii) or clause (iii) of this paragraph shall apply at the election of Counterparty, (ii) in order to allow Dealer to sell the Hedge Shares in a private placement, enter into a private placement agreement substantially similar to private placement purchase agreements customary for private placements of equity securities of companies similar to Counterpartysize, in form and substance reasonably satisfactory to Dealer (in which case, the Calculation Agent shall make any adjustments to the terms of the Transaction that are necessary, in its reasonable judgment, to compensate Dealer for any commercially reasonable discount from the public market price of the Shares incurred on the sale of Hedge Shares then held by Dealer in a private placementplacement of similar size), or (iii) purchase the Hedge Shares from Dealer at the then-current market price on such Exchange Business Days, and in the amounts and at such time(s), reasonably requested by Dealer. This Section 9(m) shall survive the termination, expiration or early unwind of the Transaction. If Counterparty elects to purchase Hedge Shares pursuant this Section 9(m), Counterparty will be deemed to have concurrently represented to Dealer that none of the Shares delivered by Dealer upon such settlement will constitute a “prohibited distribution” under the Companies Law. In addition to, and without limiting, the foregoing, Counterparty may not elect to purchase any Hedge Shares pursuant to this Section 9(m) if any Shares delivered by Dealer upon such settlement of such would constitute a “prohibited distribution” under the Companies Law.

Registration. Counterparty hereby agrees The Supplier shall ensure that ifit is Registered in respect of all relevant Supply Points prior to (and with effect from) the Earliest Supply Start Date for such Supply Points. For the purposes of such Registration the Supplier shall use the Managed Registration Information which the Authority provides to it in accordance with Schedule 3 or, in the good faith reasonable judgment case of Dealer, based on Site Works and Installation Services carried out by the advice of counselSupplier, the Shares Supply Point Information obtained by the Supplier in respect of such Site Works and Installation Services. If the Supplier fails to Register in respect of a Supply Point in accordance with Paragraph 4.1: the Supplier shall notify the Contracted Customer of the failure within two (2) Working Days; the Supplier shall use all reasonable endeavours to Register itself in respect of the relevant Supply Point as soon as reasonably practicable; any issues arising in relation to the late Registration of the Supply Point between the Supplier and the Previous Electricity Supplier to the relevant Site (“Hedge SharesIncumbent Supplier”) acquired ), including any amounts that may be owed and held by Dealer for payments made, shall be resolved in accordance with the purpose appropriate industry mechanism; and subject to Paragraph 4.3 and to the extent that any such failure is attributable to any act or omission of hedging its obligations the Supplier, the Supplier shall compensate the Contracted Customer (pursuant to the Transaction canrelevant Customer Contract) for any expense incurred by the Contracted Customer in paying more for the electricity supplied to a Supply Point by a Electricity Supplier after the Earliest Supply Start Date for that Supply Point than the Contracted Customer would have been liable to pay under its Customer Contract had the Supplier been Registered with effect from the Earliest Supply Start Date. The Supplier shall pay any such compensation directly to the Contracted Customer, subject to receipt of reasonable evidence of such expense (provided by either the Contracted Customer or the Authority) and an invoice from the Contracted Customer. The Supplier shall not be sold liable under Paragraph 4.2.4 or otherwise for any claims, proceedings, losses, liabilities, costs (including legal costs), damages or expenses arising out of any failed Registration of a Supply Point and any consequential delay in supply to a Supply Point under the Customer Contract, if: such late or failed Registration or such consequential delay is caused by a Transfer Objection submitted by the Incumbent Supplier; or the Supplier was not provided with all of the data (being accurate data) reasonably required by the Supplier to effect the Registration in question at least: sixty (60) Days in advance of the Earliest Supply Start Date (where the Earliest Supply Start Date is the earliest Supply Start Date for 1,000 or more Supply Points to be supplied pursuant to this Framework Agreement); forty-five (45) Days in advance of the Earliest Supply Start Date (where the Earliest Supply Start Date is the earliest Supply Start Date for 500 or more Supply Points to be supplied pursuant to this Framework Agreement); or thirty (30) Days in advance of the Earliest Supply Start Date (where the Earliest Supply Start Date is the earliest Supply Start Date for less than 500 Supply Points to be supplied pursuant to this Framework Agreement). Without prejudice to the generality of Paragraph 4.2.2 the Supplier shall use all reasonable endeavours to resolve any Transfer Objections as soon as reasonably practicable and the Parties shall co-operate and do such things (including using reasonable endeavours to procure that the Customer do such things, and provided that the Authority is not required to incur any material, additional expenditure in doing so) as are necessary to resolve such objection and minimise any delays to achieving Registration with effect from the Earliest Supply Start Date for the relevant Supply Point. If an objection to the Supplier’s Registration of a Supply Point is made by the Incumbent Supplier and is not resolved within five (5) Working Days then the Parties acknowledge and agree that either the Contracted Customer or the Supplier may terminate the Customer Contract in respect of the affected Supply Point. The Supplier shall provide to the Authority a summary of any failed Registrations on the first Working Day of each week. The Supplier shall ensure that provision is made as part of the Customer Service Team for absence of members of the Customer Service Team and for succession planning in the public market by Dealer without registration under event of personnel change. Where the Securities Act (other than any such Hedge Shares that were, at Authority has given the time of acquisition by Dealer, “restricted securities” (as defined in Rule 144 under the Securities Act)), Counterparty shall, at its election, either (i) in order to allow Dealer to sell the Hedge Shares in a registered offering, make available to Dealer an effective registration statement under the Securities Act and enter into an agreement, in form and substance reasonably satisfactory to Dealer, substantially in the form of an underwriting agreement for a registered secondary offering of substantially similar size and in a similar industry; provided, however, that if Dealer, in its sole reasonable discretion, is not satisfied with Supplier access to due diligence materials, a web portal for such purpose the results of its due diligence investigation, or Supplier shall give the procedures and documentation for notices that the registered offering referred Supplier is required to above, then clause (ii) or clause (iii) of this paragraph shall apply at the election of Counterparty, (ii) in order to allow Dealer to sell the Hedge Shares in a private placement, enter into a private placement agreement substantially similar to private placement purchase agreements customary for private placements of equity securities of companies similar to Counterparty, in form and substance reasonably satisfactory to Dealer (in which case, the Calculation Agent shall make any adjustments give to the terms of Authority under this Paragraph 4 by inputting the Transaction that are necessary, in its reasonable judgment, to compensate Dealer for any discount from the public market price of the Shares incurred on the sale of Hedge Shares then held by Dealer in a private placement), or (iii) purchase the Hedge Shares from Dealer at the then-current market price on required data into such Exchange Business Days, and in the amounts and at such time(s), reasonably requested by Dealerweb portal.

For the avoidance of doubt, under no circumstances shall Counterparty be obligated to make the election described in clause (iii) of the preceding sentence.

Registration. Counterparty hereby agrees that if, in the good faith reasonable judgment of Dealer, based on the advice of counselJPMorgan, the Shares (“Hedge Shares”) acquired and held by Dealer JPMorgan for the purpose of hedging its obligations pursuant to the this Transaction cannot would be sold in the public market by Dealer hands of JPMorgan subject to any applicable restrictions with respect to any registration or qualification requirement or prospectus delivery requirement for such Shares pursuant to any applicable federal or state securities law (including, without registration limitation, any such requirement arising under Section 5 of the Securities Act (other than any as a result of such Hedge Shares that were, at the time of acquisition by Dealer, being “restricted securities” (”, as such term is defined in Rule 144 under the Securities Act), or as a result of the sale of such Shares being subject to paragraph (c) of Rule 145 under the Securities Act) (such Shares, “Restricted Shares”), then delivery of such Restricted Shares shall be effected pursuant to either clause (i) or (ii) below at the election of Counterparty, unless waived by JPMorgan. If the Counterparty shallelects a Private Placement Settlement or Registered Settlement for any Restricted Shares then the procedures in clause (i) or clause (ii) below shall apply for such Restricted Shares. The Calculation Agent shall make reasonable adjustments to settlement terms and provisions under this Confirmation to reflect a Private Placements or Registered Settlements for such Restricted Shares to be sold hereunder.
(i) If the Counterparty elects to satisfy its obligations under this Section 9(u) pursuant to this clause (i) (a “Private Placement Settlement”), at then Counterparty shall use its reasonable best efforts to enable JPMorgan to sell such Restricted Shares in accordance with the customary private placement procedures with respect to such Restricted Shares reasonably acceptable to JPMorgan; provided that the Counterparty may not elect a Private Placement Settlement if, on the date of its election, it has taken, or caused to be taken, any action that would make unavailable either the exemption pursuant to Section 4(2) of the Securities Act for the sale by the Counterparty to JPMorgan (ior any affiliate designated by JPMorgan) in order of the Restricted Shares or the exemption pursuant to allow Dealer Section 4(1) or Section 4(3) of the Securities Act for resales of the Restricted Shares by JPMorgan (or any such affiliate of JPMorgan). The Private Placement Settlement of such Restricted Shares shall include customary representations, covenants, blue sky and other governmental filings and/or registrations, indemnities to sell JPMorgan, due diligence rights (for JPMorgan or any designated buyer of the Hedge Restricted Shares by JPMorgan), opinions and certificates, and such other documentation as is customary for private placement agreements, all reasonably acceptable to JPMorgan. In the case of a Private Placement Settlement, JPMorgan shall determine the appropriate discounts applicable to such Restricted Shares in a registered offeringcommercially reasonable manner and appropriately adjust the amount of such Restricted Shares to be sold by JPMorgan hereunder. Notwithstanding the Agreement or this Confirmation, the date of delivery of such Restricted Shares shall be the Exchange Business Day following notice by JPMorgan to the Counterparty, of such applicable discount and the number of Restricted Shares to be sold pursuant to this clause (i).
(ii) If the Counterparty elects to satisfy its obligations under this Section 9(u) pursuant to this clause (ii) (a “Registration Settlement”), then the Counterparty shall promptly (but in any event no later than the beginning of the Resale Period) file and use its reasonable best efforts to make available to Dealer an effective registration statement under the Securities Act and enter into a registration statement or supplement or amend an agreement, outstanding registration statement in form and substance reasonably satisfactory to DealerJPMorgan, substantially to cover the resale of such Restricted Shares in the form of an accordance with customary resale registration procedures, including covenants, conditions, representations, underwriting agreement discounts (if applicable), commissions (if applicable), indemnities, due diligence rights, opinions and certificates, and such other documentation as is customary for a registered secondary offering of substantially similar size and in a similar industry; providedequity resale underwriting agreements, however, that if Dealerall reasonably acceptable to JPMorgan. If JPMorgan, in its sole reasonable discretion, is not satisfied with access to due diligence materials, the results of its due diligence investigation, or the such procedures and documentation for Private Placement Settlement shall apply. If JPMorgan is satisfied with such procedures and documentation, it shall sell the registered offering referred Restricted Shares pursuant to above, then clause such registration statement during a period (iithe “Resale Period”) or clause commencing on the Exchange Business Day following the date the Counterparty elects to satisfy its obligation under this Section 9(u) and ending on the earliest of (iiii) the Exchange Business Day on which JPMorgan completes the sale of this paragraph shall apply at the election of Counterpartyall Restricted Shares, (ii) the date upon which all Restricted Shares have been sold or transferred pursuant to Rule 144 (or similar provisions then in order force) or Rule 145(d)(1) or (2) (or any similar provision then in force) under the Securities Act and (iii) the date upon which all Restricted Shares may be sold or transferred by a non-affiliate pursuant to allow Dealer Rule 144(k) (or any similar provision then in force) or Rule 145(d)(3) (or any similar provision then in force) under the Securities Act.
(iii) Without limiting the generality of the foregoing, Counterparty agrees that any Restricted Shares held by JPMorgan, (i) may be transferred by and among JPMorgan and its affiliates and Counterparty shall effect such transfer without any further action by JPMorgan and (ii) if applicable, after the minimum “holding period” within the meaning of Rule 144(d) under the Securities Act has elapsed after any Settlement Date for such Restricted Shares, Counterparty shall promptly remove, or cause the transfer agent for such Restricted Shares to sell remove, any legends referring to any such restrictions or requirements from such Restricted Shares upon delivery by JPMorgan (or such affiliate of JPMorgan) to Counterparty or such transfer agent of seller’s and broker’s representation letters customarily delivered by JPMorgan in connection with resales of restricted securities pursuant to Rule 144 under the Hedge Shares Securities Act, without any further requirement for the delivery of any certificate, consent, agreement, opinion of counsel, notice or any other document, any transfer tax stamps or payment of any other amount or any other action by JPMorgan (or such affiliate of JPMorgan). Notwithstanding anything contrary contained herein, the Company shall make any adjustments be not obligated to effect more than three (3) Registrations pursuant to this Section 2.1(a)(1).
(2) Subject to the terms of this Agreement and the Transaction that are necessaryAllyes Lock-up Agreements, on a date at least 150 days and no more than 330 days following the First Closing Date, Newco may request the Company in its reasonable judgmentwriting to effect a Registration, which shall not be an Underwritten Offering (a “Newco Registration”); provided however the Company shall not be obligated to compensate Dealer for any discount from effect such Newco Registration if the public market price Company has previously effected a Registration pursuant to Section 2.1(a)(1) above. Upon receipt of such a request, the Shares incurred on the sale of Hedge Shares then held by Dealer in a private placement), or Company shall (iiii) purchase the Hedge Shares from Dealer at the then-current market price on such Exchange Business Dayspromptly, and in any event within ten (10) Business Days after receipt of such written request, give written notice of the amounts proposed Registration to all other Holders and at (ii) use best efforts to cause, as soon as practicable, the Registrable Securities specified in the request, together with any Registrable Securities of any Holder who requests in writing to join such time(sRegistration within twenty (20) Business Days after the Company’s delivery of written notice, to be Registered and/or qualified for sale and distribution to the public in such jurisdictions as the Initiating Holders may reasonably request. Notwithstanding anything contrary contained herein, the Company shall not be obligated to effect more than one (1) Registration pursuant to this Section 2.1(a)(2).
(3) Any Registration made pursuant to this Section 2.1 shall be made (x) if available, reasonably requested on the Company’s existing Registration Statement on Form F-3ASR or (y) in each case subject to the terms of this Section 2.1(a)(3) below, (i) if such F-3ASR is not available, on another Registration Statement on Form F-3 (or any successor to Form F-3 or Form S-3) if such form is available for use by Dealerthe Company or (ii) otherwise on Form F-1 or Form S-1 (or any successor to Form F-1 or S-1) if such form is available for use by the Company. In the event that the Company becomes ineligible to use its existing Registration Statement on Form F-3ASR for the reasons set forth in Schedule 2.1(a)(3) hereto, the Company shall not be obligated to effect a Registration until it regains eligibility to use Form F-3ASR.
(4) Any Registrable Securities that were registered but not distributed by a Holder pursuant to a Registration other than an Underwritten Offering shall cease to be considered Registrable Securities.

Counterparty hereby agrees that if, in the good faith reasonable judgment of Dealer, based on the advice of counselBank, the Shares (the “Hedge Shares”) acquired and held by Dealer Bank for the purpose of hedging its obligations pursuant to the Transaction cannot be sold in the U.S. public market by Dealer Bank without registration under the Securities Act (other than any such Hedge Shares that were, at the time of acquisition by Dealer, “restricted securities” (as defined in Rule 144 under the Securities Act)), Counterparty shall, at its election, either : (i) in order to allow Dealer Bank to sell the Hedge Shares in a registered offering, make available to Dealer Bank an effective registration statement under the Securities Act to cover the resale of such Hedge Shares and (A) enter into an agreement, in form and substance reasonably satisfactory to DealerBank, substantially in the form of an underwriting agreement for a registered secondary offering offering, (B) provide accountant’s “comfort” letters in customary form for registered offerings of substantially similar size equity securities, (C) provide disclosure opinions of nationally recognized outside counsel to Counterparty reasonably acceptable to Bank, (D) provide other customary opinions, certificates and closing documents customary in form for registered offerings of equity securities and (E) afford Bank a similar industryreasonable opportunity to conduct a “due diligence” investigation with respect to Counterparty customary in scope for underwritten offerings of equity securities; provided, however, that if DealerBank, in its sole reasonable discretion, is not satisfied with access to due diligence materials, the results of its due diligence investigation, or the procedures and documentation for the registered offering referred to above, then clause (ii) or clause (iii) of this paragraph Section 9(n) shall apply at the election of Counterparty, ; (ii) in order to allow Dealer Bank to sell the Hedge Shares in a private placement, enter into a private placement agreement substantially similar to private placement purchase agreements Underwriting Agreements customary for private placements of equity securities of companies similar to Counterpartysecurities, in form and substance reasonably satisfactory to Dealer Bank, including customary representations, covenants, blue sky and other governmental filings and/or registrations, indemnities to Bank, due diligence rights (for Bank or any designated buyer of the Hedge Shares from Bank), opinions and certificates and such other documentation as is customary for private placements agreements, all reasonably acceptable to Bank (in which case, the Calculation Agent shall make any adjustments to the terms of the Transaction that are necessary, in its reasonable judgment, to compensate Dealer Bank for any discount from the public market price of the Shares incurred on the sale of Hedge Shares then held by Dealer in a private placement), ; or (iii) purchase the Hedge Shares from Dealer Bank at the then-current market price “VWAP Price” (as defined herein) on such the relevant Exchange Business Days, and in the amounts and at such time(s)amounts, reasonably requested by DealerBank. “VWAP Price” means, on any Exchange Business Day, the per Share volume-weighted average price as displayed under the heading “Bloomberg VWAP” on Bloomberg page <CDNS>.UQ <equity> AQR (or any successor thereto) in respect of the period from 9:30 a.m. to 4:00 p.m. (New York City time) on such Exchange Business Day (or if such volume-weighted average price is unavailable, the market value of one Share on such Exchange Business Day, as determined by the Calculation Agent using a volume-weighted method).

Counterparty hereby agrees that if, in the good faith reasonable judgment of Dealer, based on the advice of counsel, the Shares (“Hedge Shares”) acquired and held by Dealer for the purpose of hedging effecting a commercially reasonable hedge of its obligations pursuant to the Transaction cannot be sold in the public market by Dealer without registration under the Securities Act (other than any such Hedge Shares that were, at the time of acquisition by Dealer, “restricted securities” (as defined in Rule 144 under the Securities Act)), Counterparty shall, or shall cause the Issuer, at its election, either (i) in order to allow Dealer to sell the Hedge Shares in a registered offering, make available to Dealer an effective registration statement under the Securities Act and enter into an agreement, in form and substance reasonably satisfactory to Dealer, substantially in the form of an underwriting agreement for a registered secondary offering of substantially similar size and in a similar industrysize; provided, however, that if Dealer, in its sole reasonable discretion, is not satisfied with access to due diligence materials, the results of its due diligence investigation, or the procedures and documentation for the registered offering referred to above, then clause (ii) or clause (iii) of this paragraph shall apply at the election of Counterparty, (ii) in order to allow Dealer to sell the Hedge Shares in a private placement, use commercially reasonable efforts to enter into a private placement agreement substantially similar to private placement purchase agreements customary for private placements of equity securities of companies similar to Counterpartysize in respect of a similar issuer, in form and substance reasonably satisfactory to Dealer (in which case, the Calculation Agent shall make any adjustments to the terms of the Transaction that are necessary, in its commercially reasonable judgment, to compensate Dealer for any discount from the public market price of the Shares incurred on the sale of Hedge Shares then held by Dealer in a private placement), or (iii) purchase the Hedge Shares from Dealer at the then-current market price on such Exchange Business Days, and in the amounts and at such time(s), reasonably requested by Dealer.
