REIMBURSEMENT FOR ALLOCATED COSTS. At the end of each month, not later than the 30th day of the following month, (i) MMC shall promptly reimburse BCBSUW and/or UWS for all costs and expenses incurred by BCBSUW and/or UWS in furnishing or obtaining the Employees and Services provided for under Sections I and II, which amount shall be based on the total of direct charges and indirect allocations to MMC for the preceding month, and (ii) any company in the BCBSUW/UWS Group on whose behalf MMC Services have been rendered in the preceding month shall promptly reimburse MMC for all costs and expenses incurred by MMC in furnishing MMC Services thereto. Notwithstanding the preceding, the parties reserve the right to offset amounts due to each other under this Agreement.
