Reimbursement of Expenses and Miscellaneous Service Fees. (a) In addition to paying SMC the fees set forth in Schedule C, the Company agrees to reimburse SMC for SMC's reasonable out-of-pocket expenses (for which no mark-up for SMC overhead expe▇▇▇▇ shall be included) in providing services hereunder, including without limitation, the following: (i) All freight and other delivery and bonding charges incurred by SMC in delivering materials to and from the Company and in delivering all materials to shareholders; (ii) All direct telephone, telephone transmission and telecopy or other electronic transmission expenses incurred by SMC in communication with the Company, the Company's investment adviser or custodian, dealers, shareholders or others as required for SMC to perform the services to be provided hereunder; (iii) Sales taxes paid on behalf of the Company; (iv) The cost of microfilm or microfiche or other electronic retention of records or other materials; (v) Courier (delivery expenses); (vi) Check processing fees; (vii) Records retention / storage fees; (viii) Fulfillment; (ix) IRA custody and other related ▇▇es; (x) NSCC, networking and related costs and/or fees; (xi) Sales taxes; (xii) Costs of statements and confirmations including, but not limited to, costs of printing and postage; (xiii) Costs of tax forms; (xiv) Costs of all other shareholder correspondence; and (xv) Post office boxes (xvi) Any expenses paid by SMC to a third-party administrator, broker/dealer, bank, insurance company or other entity for providing sub-transfer agency services to beneficial shareholders of the Company where such shares are held in omnibus accounts; and (xvii) Systems development fees billed to SMC by the provider of SMC's securityholder accounting system (the "Transfer Agency System") (b) In addition, SMC shall be entitled to receive the following fees: (i) System development fees, billed at the rate of $150 per hour, as approved by the Company, and all systems-related expenses, agreed in advance, associated with the provision of special reports and services pursuant to Item 7 of Schedule D attached hereto; (ii) Fees for development of custom interfaces, billed at a mutually agreed upon rate; (iii) Ad hoc reporting fees, billed at a mutually agreed upon rate;

(a) In addition to paying SMC BISYS the fees set forth in Schedule C, the Company Trust agrees to reimburse SMC BISYS for SMC's BISYS’ reasonable and actual out-of-pocket expenses (for which no mark-up for SMC overhead expe▇▇▇▇-up for BISYS overhead expenses shall be included) in providing services hereunder, including without limitation, the following: (i) All freight and other delivery and bonding charges incurred by SMC BISYS in delivering materials to and from the Company Trust and in delivering all materials to shareholders; (ii) All printing, production (including graphics support, copying, and binding) and distribution expenses incurred in relation to Board meeting materials; (iii) All direct telephone, telephone transmission and telecopy or other electronic transmission expenses incurred by SMC BISYS in communication with the CompanyTrust, the Company's Trust’s investment adviser or custodian, dealers, shareholders or others as required for SMC BISYS to perform the services to be provided hereunder; (iii) Sales taxes paid on behalf of the Company; (iv) The cost of microfilm or microfiche or other electronic retention of records or other materials; (v) Courier (delivery expenses); (vi) Check processing fees; (vii) Records retention / storage fees; (viii) Fulfillment; (ix) IRA ▇▇▇ custody and other related ▇▇esfees; (x) NSCC, networking NSCC and related costs and/or feescosts; (xi) Sales taxes; (xii) Costs of statements and confirmations including, but not limited to, costs of printing and postageconfirmations; (xiii) Costs of tax forms; (xiv) Costs of all other shareholder correspondence; and; (xv) Post office boxes; (xvi) Any Mailing labels for distribution of financial reports, prospectuses, proxy statements or marketing material to current shareholders; (xvii) Out of pocket expenses paid (not including professional time or attorneys’ fees) incurred by SMC BISYS associated with reprocessing (unless due to a third-party administratorBISYS’ error), broker/dealeran investigation, bank, insurance company examination or other entity for providing sub-transfer agency legal or regulatory process to produce documents or personnel with respect to services provided by BISYS to beneficial shareholders the Trust or any Fund, so long as BISYS is not the subject of the Company where such shares are held investigation or proceeding in omnibus accountswhich the information is sought; and (xviixviii) Systems development fees billed to SMC Any expenses BISYS shall incur at the written direction of an officer of the Trust or other individual duly authorized by the provider of SMC's securityholder accounting system (the "Transfer Agency System")Trust. (b) In addition, SMC BISYS shall be entitled to receive the following fees:miscellaneous service fees as set forth in Schedule C. Reimbursement of Expenses and Miscellaneous Service Fees. (a) In addition to paying SMC BISYS the fees set forth in Schedule Cthe Fee Agreement, the Company Trust agrees to reimburse SMC BISYS for SMC's reasonable BISYS' out-of-pocket expenses (for which no mark-up for SMC overhead expe▇▇▇▇ shall be included) in providing services hereunder, including without limitation, the following: (i) All freight and other delivery and bonding charges incurred by SMC BISYS in delivering materials to and from the Company Trust and in delivering all materials to shareholders; (ii) All direct telephone, telephone transmission and telecopy or other electronic transmission expenses incurred by SMC BISYS in communication with the CompanyTrust, the CompanyTrust's investment adviser or custodian, dealers, shareholders or others as required for SMC BISYS to perform the services to be provided hereunder; (iii) Sales taxes paid on behalf of the CompanyTrust; (iv) Expenses associated with the tracking of "as-of" trades; (v) The cost of microfilm or microfiche or other electronic retention of records or other materials; (v) Courier (delivery expenses); (vi) Check processing feesAny expenses BISYS shall incur at the written direction of an officer of the Trust thereunto duly authorized; (vii) Records retention / storage check processing fees; (viii) Fulfillmentfulfillment costs; (ix) IRA custody Custody and other related ▇▇es;fees; and (x) NSCC, networking NSCC and related costs and/or fees; (xi) Sales taxes; (xii) Costs of statements and confirmations including, but not limited to, costs of printing and postage; (xiii) Costs of tax forms; (xiv) Costs of all other shareholder correspondence; and (xv) Post office boxes (xvi) Any expenses paid by SMC to a third-party administrator, broker/dealer, bank, insurance company or other entity for providing sub-transfer agency services to beneficial shareholders of the Company where such shares are held in omnibus accounts; and (xvii) Systems development fees billed to SMC by the provider of SMC's securityholder accounting system (the "Transfer Agency System"). (b) In addition, SMC BISYS shall be entitled to receive the following fees: (i) A fee for managing and overseeing the report, print and mail functions performed by BISYS using third-party vendors, and costs for postage, couriers, stock computer paper, statements, labels, envelopes, checks, reports, letters, tax forms, proxies, notices or other forms of printed material (including the costs of preparing and printing all printed materials) which shall be required for the performance of the services to be provided hereunder; (ii) System development fees, billed at the rate of $150 per hour, as approved by the CompanyTrust, and all systems-related expenses, agreed in advance, associated with the provision of special reports and services pursuant to Item 7 8 of Schedule D attached hereto; (ii) Fees for development of custom interfaces, billed at a mutually agreed upon rate; (iii) Ad hoc reporting fees, billed at a mutually agreed upon rate; (iv) Expenses associated with the tracking of "as-of" trades, billed at the rate of $50 per hour, as approved by the Trust.

(a) In addition to paying SMC BISYS the fees set forth in Schedule C, the Company Trust agrees to reimburse SMC BISYS for SMC's BISYS' reasonable out-of-pocket expenses (for which no mark-up for SMC BISYS overhead expe▇▇▇▇ expenses shall be included) in providing services providin▇ ▇▇rvices hereunder, including without limitation, the following: (i) All freight and other delivery and bonding charges incurred by SMC BISYS in delivering materials to and from the Company Trust and in delivering all materials to shareholders; (ii) All direct telephone, telephone transmission and telecopy or other electronic transmission expenses incurred by SMC BISYS in communication with the CompanyTrust, the CompanyTrust's investment adviser or custodian, dealers, shareholders or others as required for SMC BISYS to perform the services to be provided hereunder; (iii) Sales taxes paid on behalf of the CompanyTrust; (iv) The cost of microfilm or microfiche or other electronic retention of records or other materials; (v) Courier (delivery expenses); (vi) Check processing fees; (vii) Records retention / storage fees; (viii) Fulfillment; (ix) IRA custody and other related ▇▇esfees; (x) NSCC, networking and NSCC ▇▇d related costs and/or feescosts; (xi) Sales taxes; (xii) Costs of statements and confirmations including, but not limited to, costs of printing and postageconfirmations; (xiii) Costs of tax forms; (xiv) Costs of all other shareholder correspondence; and; (xv) Post office boxes; and (xvi) Any expenses paid by SMC to a third-party administrator, broker/dealer, bank, insurance company or other entity for providing sub-transfer agency services to beneficial shareholders BISYS shall incur at the written direction of an officer of the Company where such shares are held in omnibus accounts; and (xvii) Systems development fees billed to SMC by the provider of SMC's securityholder accounting system (the "Transfer Agency System")Trust thereunto duly authorized. (b) In addition, SMC BISYS shall be entitled to receive the following fees: (i) A fee for managing and overseeing the report, print and mail functions performed by BISYS' third-party vendors, not to exceed $.04 per page for statements and $.03 per page for confirmations; fees for programming in connection with creating or changing the format of statements, billed at the rate of $150 per hour; and costs for postage, couriers, stock computer paper, statements, labels, envelopes, checks, reports, letters, tax forms, proxies, notices or other forms of printed material (including the costs of preparing and printing all printed materials) which shall be required for the performance of the services to be provided hereunder; (ii) System development fees, billed at the rate of $150 per hour, as approved by the CompanyTrust, and all systems-related expenses, agreed in advance, associated with the provision of special reports and services pursuant to Item 7 8 of Schedule D attached hereto; (iiiii) Fees for development of custom interfaces, billed at a mutually agreed upon rate; (iiiiv) Ad hoc reporting fees, billed at a mutually agreed upon rate;

(aA) In addition to paying SMC BISYS the fees set forth referred to in Schedule CSection 2 hereof, the Company Fifth Third agrees to reimburse SMC BISYS for SMC's reasonable the following out-of-pocket expenses (for which no mark-up for SMC overhead expe▇▇▇▇ shall be included) in providing services hereunder, including without limitation, the followingexpenses: (ia) All freight and other delivery and bonding charges incurred by SMC BISYS in delivering materials to and from Fifth Third and/or the Company and in delivering all materials to shareholders; (iib) All direct telephone, telephone transmission and telecopy or other electronic transmission expenses incurred by SMC BISYS in communication with Fifth Third and/or the Company, the Company's investment adviser advisor or custodian, dealers, shareholders or others as required for SMC BISYS to perform the services to be provided hereunder; (iiic) Sales taxes paid on behalf of the Company; (ivd) Expenses associated with the tracking of "as-of" trades; (e) The cost of microfilm or microfiche or other electronic retention of records or other materials; (vf) Courier (delivery expenses)Costs of NSCC processing; (vi) Check processing fees; (vii) Records retention / storage fees; (viii) Fulfillment; (ix) IRA custody and other related ▇▇es; (x) NSCC, networking and related costs and/or fees; (xi) Sales taxes; (xiig) Costs of statements ▇▇▇ custody and confirmations including, but not limited to, costs of printing and postage; (xiii) Costs of tax forms; (xiv) Costs of all other shareholder correspondencereporting; and (xv) Post office boxes (xvih) Any expenses paid by SMC to a third-party administrator, broker/dealer, bank, insurance company BISYS shall incur at the direction of Fifth Third or other entity for providing sub-transfer agency services to beneficial shareholders an officer of the Company where such shares are held in omnibus accounts; andthereunto duly authorized.
