Rejection of Any Subscription or Termination of the Offering. If (i) the Company delivers a written notice in a form reasonably satisfactory to the Escrow Agent stating that the Company intends to reject a Subscriber’s subscription or the Subscriber has revoked its subscription (in accordance with the terms of its subscription agreement) or (ii) the Company delivers a written notice in a form reasonably satisfactory to the Escrow Agent stating that the Offering has been terminated without a Cash Offering Closing, signed by an authorized representative of each of the Company (a list of whom are provided in Exhibit A-1) (a “Termination Notice”), then the Escrow Agent shall promptly (but in any event no later than two (2) Business Days following such notice) return the funds paid by each such Subscriber to said Subscriber without interest or offset.
