Release of Restrictions on Shares. The restrictions set --------------------------------- forth in Section 4.1 on the sale, transfer or other disposition and on the pledge or other hypothecation of the Shares, including the Independence Issue- related provisions in Section 4.1(c), shall lapse concurrently with the successful completion of an IPO of Common Stock by the Company or upon the sale of all or substantially all of the assets of the Company.
