Common use of Reliance by Third Parties Clause in Contracts

Reliance by Third Parties. Any person or entity dealing with the Company may rely upon a certificate signed by the Member as to: (i) the persons who or entities which are authorized to execute and deliver any instrument or document of or on behalf of the Company, and (ii) the persons who or entities which are authorized to take any action or refrain from taking any action as to any matter whatsoever involving the Company.

Reliance by Third Parties. Any person or entity dealing with the Company may rely upon a certificate signed by the Member Managers as to: (i) the persons who or entities which are authorized to execute and deliver any instrument or document of or on behalf of the Company, and (ii) the persons who or entities which are authorized to take any action or refrain from taking any action as to any matter whatsoever involving the Company.

Reliance by Third Parties. Any person or entity dealing with the Company or the Member may rely upon a certificate signed by the Member as to: : (ia) the identity of the Member, (b) the existence or non-existence of any fact or facts which constitute a condition precedent to acts by the Member or are in any other manner germane to the affairs of the Company, (c) the persons who or entities which are authorized to execute and deliver any instrument or document of or on behalf of the Company, and Company or (iid) any act or failure to act by the persons who Company or entities which are authorized to take any action or refrain from taking any action as to any other matter whatsoever involving the CompanyCompany or the Member.

Reliance by Third Parties. Any person or entity dealing with the Company may rely upon a certificate signed the [Manager/Managing Member] of the Company, or signed by any Secretary or Assistant Secretary of the Member Company as to: (ia) the persons who or entities which are authorized to execute and deliver any instrument or document of or on behalf of the Company, and (iib) the persons who or entities which are authorized to take any action or refrain from taking any action as to any matter whatsoever involving the Company.

Reliance by Third Parties. Any person or entity dealing with the Company Company, the ---------------------------- Managers or any Member may rely upon a certificate signed by the Member any Manager as to: to (i) the identity of any Manager or Member; (ii) any factual matters relevant to the affairs of the Company; (iii) the persons who or entities which are authorized to execute and deliver any instrument or document of or on behalf of the Company, and ; or (iiiv) the persons who or entities which are authorized to take any action taken or refrain from taking any action as omitted to any matter whatsoever involving be taken by the Company, the Managers or any Member.

Any person or entity dealing with the Company or any Member may rely upon a certificate signed by the Majority Member or any Officer as to: to (i) the identity of any other Member; (ii) any factual matters relevant to the affairs of the Company; (iii) the persons who or entities which are authorized to execute and deliver any instrument or document of or on behalf of the Company, and ; or (iiiv) the persons who or entities which are authorized to take any action taken or refrain from taking any action as to any matter whatsoever involving omitted by the Company, or any Member.

Reliance by Third Parties. Any person or entity dealing with the Company LLC, the Managers or any Member may rely upon a certificate signed by all the Member Managers as to: to (ia) the identity of any Managers or Members; (b) any factual matters relevant to the affairs of the LLC; (c) the persons who or entities which are authorized to execute and deliver any instrument or document of or on behalf of the Company, and LLC; or (iid) the persons who or entities which are authorized to take any action taken or refrain from taking omitted by the LLC, the Managers or any action as to any matter whatsoever involving the CompanyMember.

Reliance by Third Parties. Any person or entity Person dealing with the Company, the Directors or any Officer or employee of the Company may rely upon a certificate signed by the Managing Member as to: (ia) the identity of any of the Managing Member, any Director or Officer; (b) the persons who or entities which are authorized to execute and deliver any instrument or document of or on behalf of the Company, and; or (iic) any act or failure to act by the persons who Company or entities which are authorized to take any action or refrain from taking any action as to any other matter whatsoever involving the Company.

Any person or entity dealing with the Company Person may rely upon a certificate signed by all of the Member Managers on the Board as to: to (ia) the persons identity of the Members, (b) any factual matters relevant to the affairs of the Company, (c) the Persons who or entities which are authorized to execute and deliver any instrument or document of or on behalf of the Company or (d) any action taken or omitted by the Company, and (ii) the persons who Board or entities which are authorized any Member with respect to take any action or refrain from taking any action as to any matter whatsoever involving the business of the Company.

Any person or entity dealing with the Company or the Manager may rely upon a certificate signed by the Member Manager as to: : (ia) the persons who or entities which are authorized to execute executed and deliver any instrument or document of or on behalf of the Company, and ; (iib) the persons who or entities which are authorized to take any action or refrain from taking any action as to any matter whatsoever involving the Company.

Any person or entity dealing with the Company may rely upon a certificate signed by the Member or the Manager of the Company, or signed by any Secretary or Assistant Secretary of the Company as to: (i) the 10.1 The persons who or entities which are authorized to execute and deliver any instrument or document of or on behalf of the Company, ; and (ii) the 10.2 The persons who or entities which are authorized to take any action or refrain from taking any action as to any matter whatsoever involving the Company.

Any person or entity dealing with the Company may rely upon a certificate signed by the Member Managers as to: (ia) the persons who or entities which are authorized to execute and deliver any instrument or document of or on behalf of the Company, and (iib) the persons who or entities which are authorized to take any action or refrain from taking any action as to any matter whatsoever involving the Company.

The existence or nonexistence of any fact or facts which constitute a condition precedent to acts by the persons Members or in any other manner germane to the affairs of the Company; 3. The Persons who or entities which are authorized to execute and deliver any instrument or document of of, or on behalf of of, the Company, and; or (ii) 4. Any act or failure to act by the persons who Company or entities which are authorized to take any action or refrain from taking any action as to any other matter whatsoever involving the CompanyCompany or any Member.

Reliance by Third Parties. Any person or entity dealing with the Company may rely upon a certificate signed the [Manager/[Manager/Managing Member] of the Company, or signed by any Secretary or Assistant Secretary of the Member Company as to: (ia) the persons who or entities which are authorized to execute and deliver any instrument or document of or on behalf of the Company, and (iib) the persons who or entities which are authorized to take any action or refrain from taking any action as to any matter whatsoever involving the Company.

Reliance by Third Parties. Any person Person or entity dealing with the Company may rely upon a certificate signed by a member of the Member Board as to: : (ia) the persons who or entities Persons which are authorized to execute and deliver any instrument or document of or on behalf of the Company, and (iib) the persons who or entities which are authorized to take authorization of any action by or refrain from taking on behalf of the Company by the Board or any action officer or agent acting on behalf of the Company or (c) any act or failure to act by the Company or as to any other matter whatsoever involving the CompanyCompany or the Members.

Reliance by Third Parties. Any person or entity Person dealing with the Company Company, the Managers or any Member may rely (without duty of further inquiry) upon a certificate signed by any Manager as to (a) the Member as to: identity and authority of a Manager to act on behalf of the Company; (ib) any factual matters relevant to the affairs of the Company; (c) the persons who or entities which are authorized to execute and deliver any instrument or document of or on behalf of the Company, and ; or (iid) the persons who or entities which are authorized to take any action taken or refrain from taking any action as to any matter whatsoever involving omitted by the CompanyCompany or the Managers.

Reliance by Third Parties. Any person or entity dealing with the Company may rely upon on a certificate signed by the Member Representatives as to: (ia) the identity of the Member Representatives; (b) the existence or non-existence of any fact or facts which constitute a condition precedent to acts by the Member Representatives or are in any matter germane to the affairs of the Company; (c) the persons who or entities which are authorized to execute and deliver any instrument or document of or on behalf of the Company, and; or (iid) any act or failure to act by the persons who Company or entities which are authorized to take any action or refrain from taking any action as to any other matter whatsoever involving the Company.

Reliance by Third Parties. Any person or entity dealing with the Company Person may rely upon a certificate signed by the Managing Member as to: to (ia) the persons identity of the Members, (b) any factual matters relevant to the affairs of the Company, (c) the Persons who or entities which are authorized to execute and deliver any instrument or document of or on behalf of the Company or (d) any action taken or omitted by the Company, and (ii) the persons who Managing Member or entities which are authorized any Member with respect to take any action or refrain from taking any action as to any matter whatsoever involving the business of the Company.

Reliance by Third Parties. Any person or entity Person dealing with the Company Company, the Directors, or officers may rely upon a certificate signed by a majority of the Member Directors, the Chairman, the Vice Chairman, the CEO, or the President as to: : (i) the persons identity of any Directors or officers; (ii) any factual matters relevant to the affairs of the Company; (iii) the Persons who or entities which are authorized to execute and deliver any instrument or document of or on behalf of the Company, and ; or (iiiv) the persons who or entities which are authorized to take any action taken or refrain from taking any action as to any matter whatsoever involving omitted by the Company, the Directors, or any officer.

Reliance by Third Parties. Any person or entity dealing with the Company may rely upon a certificate signed by any Secretary or Assistant Secretary of the Company, or signed by any Secretary or Assistant Secretary of the Member as to: (i) the persons who or entities which are authorized to execute and deliver any instrument or document of or on behalf of the Company, and (ii) the persons who or entities which are authorized to take any action or refrain from taking any action as to any matter whatsoever involving the Company.

Reliance by Third Parties. Any person or entity dealing with the Company may rely upon a certificate signed by any Secretary or Assistant Secretary of the Company, or signed by any Secretary or Assistant Secretary of the Member as to: (i) the persons who or entities which are authorized to execute and deliver any instrument or document of or on behalf of the Company, and (ii) the persons who or entities which are authorized to take any action or refrain from taking any action as to any matter whatsoever involving the Company.

Any person or entity dealing with the Company may rely upon a certificate signed by the Member Secretary of the Company as to: (i1) the persons who or entities which are authorized to execute and deliver any instrument or document of or on behalf of the Company, and (ii2) the persons who or entities which are authorized to take any action or refrain from taking any action as to any matter whatsoever involving the Company.

Any person or entity dealing with the Company Company, a Manager, or any Member may rely upon a certificate signed by the Member a Manager as to: to (i) the persons identity of any Manager, or Member; (ii) any factual matters relevant to the affairs of the Company; (iii) the Persons who or entities which are authorized to execute and deliver any instrument or document of or on behalf of the Company, and ; or (iiiv) the persons who or entities which are authorized to take any action taken or refrain from taking any action as to any matter whatsoever involving omitted by the Company, Manager, or any Member.

Any person or entity dealing with the Company may rely upon a certificate signed the Manager of the Company, or signed by any Secretary or Assistant Secretary of the Member Company as to: (i) : the persons who or entities which are authorized to execute and deliver any instrument or document of or on behalf of the Company, and (ii) and the persons who or entities which are authorized to take any action or refrain from taking any action as to any matter whatsoever involving the Company.

Any person or entity dealing with the Company Person may rely upon a certificate signed by the Managing Member as to: to (ia) the persons identity of the Managing Member or Members, (b) any factual matters relevant to the affairs of the Company, (c) the Persons who or entities which are authorized to execute and deliver any instrument or document of or on behalf of the Company or (d) any action taken or omitted by the Company, and (ii) the persons who Managing Member or entities which are authorized any Member with respect to take any action or refrain from taking any action as to any matter whatsoever involving the business of the Company.
