Reliance on Recitals and TCTS’ Representations. The Recitals set forth above form the basis for this Agreement and are expressly incorporated herein. The Parties understand and acknowledge they have relied on those Recitals, together with the representations and warranties contained herein, as an inducement to execute this Escrow Agreement and to consummate and close the Purchase Transaction.
