Reliance on Subscriber's Representations. The Subscriber acknowledges and agrees that the Company and its agents are relying on the truth and accuracy of the foregoing representations and warranties, any other information Subscriber has furnished to the Company in writing, as correct and complete as of the date of this Agreement, and if there should be any material change in such information prior to Subscriber’s admission as a Member of the Company, the (i) Accredited Investor. The Subscriber is an “accredited investor” within the meaning of Rule 501 of Regulation D under the Securities Act and has completed properly and delivered an executed copy of the questionnaire attached hereto as Exhibit B.
