Common use of Removal or Resignation Clause in Contracts

Removal or Resignation. Plan Administrator may be removed by the Board of Directors of the Plan Sponsor upon thirty (30) days written notice, and may resign upon thirty (30) days written notice to the Board of Directors. Upon such removal or resignation, or the inability of the Plan Administrator for any other reason to act as Plan Administrator, the Board of Directors shall appoint a Successor Plan Administrator. The successor Plan Administrator, upon written acceptance, shall have all the duties and responsibilities of a Plan Administrator hereinunder. The former Plan Administrator shall deliver to the successor Plan Administrator all records and documents held by him relating to the Plan upon such removal or resignation.

The Plan Administrator or any member of the group who together comprise the Plan Administrator may be removed at the pleasure of the Employer by the action of its Board of Directors of the Plan Sponsor upon thirty (30) days written notice, and or may resign upon thirty (30) days by written notice to the Board of DirectorsEmployer. Upon such Said removal or resignation, resignation shall be effective sixty (60) days after delivery of such notice to the other party unless some other date is designated by the Employer. After removal or resignation the inability of the Plan Administrator for any other reason to act as Plan Administrator, the Board of Directors shall Employer may appoint a Successor Plan Administrator.
