Replacement of the L/C Issuer Clause Samples

The "Replacement of the L/C Issuer" clause outlines the process by which a new letter of credit (L/C) issuer can be appointed to replace the existing one under a credit agreement. Typically, this clause specifies the circumstances under which replacement is permitted, such as the current issuer's inability to perform, insolvency, or failure to meet certain obligations, and details the steps required for the transition, including notice requirements and the transfer of outstanding obligations. Its core function is to ensure continuity and reliability in the issuance of letters of credit, protecting the interests of the parties by providing a clear mechanism for substituting the L/C issuer if necessary.
