REPORTING AND AUTHORITY. M▇. ▇▇▇▇▇▇ shall report to and be subject to the supervision and direction of the Board of Directors of CBS (“Board”) and the President and Chief Executive Officer of CBS and the Bank. M▇. ▇▇▇▇▇▇ shall have the authority set by the CBS Code of Regulations, as may be amended from time to time, and the authority delegated to him by the President and Chief Executive Officer or the Board.
