Reporting; Records. The Custodian shall have and perform the following duties with respect to recordkeeping.
Reporting; Records. (i) From and after the Effective Time and until the earlier of [***] (the “Reporting Period”), Parent shall provide the Shareholders’ Agent, within sixty (60) days following January 1 and July 1 of each calendar year, with reasonably detailed semiannual reports of the (a) status of efforts to achieve the Milestones (provided that the reports, schedules, forms, statements and other documents filed or furnished by Parent with or to the SEC shall be deemed to satisfy this reporting obligation (except if Parent has undertaken a Disposal Transaction); provided, further, that if (i) Parent is no longer required to file such reports under the Exchange Act or (ii) has undertaken a Disposal Transaction, then reports regarding Zorblisa that are reasonably consistent in scope and timing with the reports regarding Zorblisa filed or furnished by Parent with or to the SEC prior to such time shall be deemed to satisfy this reporting obligation) and (b) as applicable, Net Sales in the immediately preceding two calendar quarters. The Shareholders’ Agent may disclose each such report (including its analysis thereof) to its Representatives, to the Advisory Group and to each Effective Time Holder that is a venture capital fund or other institutional or strategic investor (and each such Effective Time Holder shall be permitted to disclose any such report (including any analysis thereof) to its Representatives) so long as each such Person receiving any such report (or analysis thereof) is subject to reasonable confidentiality obligations with (x) Parent or the Surviving Corporation and (y) the Shareholders’ Agent with respect thereto. Within thirty (30) days after receipt of such a report, if the Shareholders’ Agent has inquiries regarding the status of activities described in such report, the Shareholders’ Agent may request a meeting with representatives of Parent to discuss such report, and Parent shall use commercially reasonable efforts to make available for such a meeting (which may be held via teleconference) the relevant employees or representatives responsible for the activities set forth in the report.
(ii) With respect to the achievement of any of the Milestones or the events giving rise to a PRV Payment, Parent shall provide written notice to the Shareholders’ Agent of such occurrence no later than (A) ten (10) Business Days after the occurrence thereof, in the case Section 2.11(a)(i) — (iv) or Section 2.11(b) or thirty (30) days in the case of Section 2.11(a)(v) — (...
Reporting; Records. SOLMIC shall provide PIVOT with regular updates on the progress of the Services by teleconference, email, and telephone communication. SOLMIC shall create and maintain such records as either specified in the Work Order or as necessary to comply with all applicable German laws.

Reporting; Records. The Director shall report to the Group CEO of the Company in relation to the Services in such form and with such frequency and within such time periods as are reasonably specified by the Group CEO. The Director shall keep detailed records of all acts and things done by it or on its behalf in relation to the provision of Services and at his request the Group CEO shall be entitled to have full and free access to same.

AKP shall, and shall cause each of its Affiliates and Sublicensees to, maintain current and accurate records of all Regulatory Materials and Regulatory Data that such parties may acquire during the Term for a period covering, at a minimum, the Record Retention Period. In addition, AKP shall keep VectivBio reasonably and regularly informed in connection with the preparation of all Regulatory Materials, Regulatory Authority review of Regulatory Materials, and Regulatory Approvals, in each case with respect to Product for sale in the Field in the Territory to the extent such activities relate to the Development or Commercialization of the Product in the Field outside the Territory. VectivBio shall, and shall cause each of its Affiliates and VectivBio Product Sublicensees to, maintain current and accurate records of all Regulatory Materials and Regulatory Data that such parties may acquire during the Term for a period covering, at a minimum, the Record Retention Period. In addition, VectivBio shall keep AKP reasonably and regularly informed in connection with the preparation of all Regulatory Materials, Regulatory Authority review of Regulatory Materials, and Regulatory Approvals, in each case with respect to Product for sale in the Field outside the Territory to the extent such activities relate to the Development or Commercialization of the Product in the Field in the Territory.
Reporting; Records. “Contractor” agrees to be available to discuss the performance of Services as reasonably requested by “District”, the State of California, the National Science Foundation (NSF), or any of their authorized representatives; to access any books, records, papers or other pertinent documents for the purpose of auditing and/or monitoring. “Contractor” agrees to retain all records pertinent to this Agreement for a period of three (3) years from the date of final payment for Services under this Agreement or until all claims arising under this Agreement, if any, have been resolved, whichever period is longer, but in any case, at a minimum, three (3) years.
Reporting; Records. (a) The Contractor shall, if requested, attend meetings of the Board of the Company. At such meetings and at other times as may reasonably be requested, the Contractor shall report on the business, operations and affairs of the Company and on the performance of the services by the Contractor. The Contractor shall not have any voting rights at any of such meetings.
(b) The Contractor shall prepare a monthly operating report on a timely basis which shall include information with respect to the turbine and Project availability, output, warranty work and warranty claims, income, cash flow, and balance sheet statements, a comparison of actual versus budgeted results, and any other significant information. In addition, the Contractor shall contact the Company on a regular basis (as may be agreed by the parties), via email or telephone, to verify the continued reliable and safe operation of the Project, and shall report any material and extraordinary events within 12 hours, or sooner, of such occurrence via email and telephone.
(c) The Contractor shall promptly notify the Company of (i) any event or circumstance that could potentially result in a Default or Event of Default under an Ancillary Agreement, (ii) the receipt of any notice of default or event of default under any agreement or contract relating to the Project or Company or (iii) the receipt of any notice from any governmental authority relating to the Project, Company or a Member. As part of any such notification, the Contractor shall also specify the actions proposed or recommended to be taken by the Contractor or the Company to avoid and/or cure any such event or circumstance.
(d) Contractor shall create and retain all records necessary for the Contractor or the Company to perform their respective obligations under any Ancillary Agreement or other applicable law or regulation. Contractor shall provide any and all data and information requested by the Company or any Member with respect to the ASA or the Project in the form requested as promptly as, and to the fullest extent, practicable.
Reporting; Records. 7.1 Each Party shall provide to the other such reports as are reasonably necessary to verify such Party’s performance of its obligations hereunder. Without limitation to the foregoing, Intelius shall provide to Adaptive a weekly report, in such format as the Parties shall reasonably agree, setting forth the number of Impressions served by Intelius hereunder (and related “click-throughs”) for the prior week. Adaptive will provide Intelius on a quarterly basis throughout the Term reporting on the number of Eligible Enrollees, Enrollees, Declines, Conversion Rates, Net Bills, Members and other applicable metrics.
7.2 Each Party shall keep true and complete records with respect to the performance of its obligations hereunder, and during the Term (and for a period of one (1) year after the expiration or earlier termination of this Agreement) shall make such books and records available for inspection by the other Party, upon reasonable notice and during normal business hours, but on no more than two (2) occasions during any one (1) year period. Such records shall be maintained for at least three (3) years after the end of the calendar year to which they pertain.
